PRICE‌ Price for the Shares. 3.1 The price for the Sale Shares shall be: (a) USD 838,128,992 (the Initial Price); less (b) any Leakage, (the aggregate of such amounts being the Price). 3.2 Except as otherwise set forth herein, the Purchasers shall pay the Price to the Seller in full in cash in United States Dollars at Closing, less: (a) the Seller Holdback Amount; and (b) any amount paid to the Seller pursuant to Clause 5 in respect of any ▇▇▇▇▇▇▇ Money Bank Guarantee (or any amount equal to such amount pursuant to Clause 5 or any Second Bank Guarantee). 3.3 Any reference to Leakage in this Agreement shall in any event exclude Permitted Leakage.
