Price and Price Adjustments. 10.1 The initial Supply Price for Products for the 2019 Calendar Year shall be set out in Exhibit 1 (Products) of this Agreement (calculated as Base Price plus applicable Margin as set out in Exhibit 16, Part C). The Supply Price of each Product for any subsequent Calendar Year shall equal the Base Price for such Calendar Year (as adjusted in accordance with clause 10.4, if applicable) plus the applicable Margin.

Price and Price Adjustments. (a) The prices of Materials (including the cost of package and packing) are as set out on Exhibit B, subject to quarterly review. However, if Oplink at any time presents substantial documentary evidence that another producer of goods has lawfully offered Oplink goods of similar functionality and quality, and under similar terms and conditions (quantities, shipment terms, etc.), at a delivered cost at least 5% lower than the delivered cost hereunder, then Oplink will give Vendor written notice of such lower offer. If Vendor does not agree to reduce its price immediately to meet the lower offer within thirty (30) days of such notice, at the expiration of the thirty (30) day period, Oplink's only purchase obligation hereunder shall be to purchase Materials for which Releases have been issued by Oplink and confirmed by Vendor. Upon the purchase by Oplink of the Materials under those prior Releases, Oplink shall be deemed to have satisfied any and all purchase commitments and obligations hereunder, and shall not be subject to any penalty, price adjustment or other liability for failure to purchase any additional Materials from Vendor.
Price and Price Adjustments. 3.1 Unless and until it is adjusted solely in accordance with the provisions hereinafter set forth in this Article III, effective as of July 1, 1996, the price per ton F.O.B. cars at Seller's Mines for all coal sold hereunder shall be $32.00 for Quality A Coal and shall hereinafter be referred to as "Quality A Initial Price" and $29.25 for Quality B Coal and shall hereinafter be referred to as "Quality B Initial Price", except as provided in Section 3.3(d) herein. After any such adjustments have been made in accordance with this Article III, the price per ton F.O.B. cars at Seller's Mines shall be the Quality A Initial Price or Quality B Initial Price, as adjusted, hereinafter referred to as Quality A Price and Quality B Price, as the case may be. The Quality A Initial Price and Quality B Initial Price, includes all costs associated with compliance with all Federal, State, and local laws and regulations as of the effective date of this Amendment as they are now interpreted and enforced in Producing District 8, as defined in the Federal Bituminous Coal Act of 1937, as amended. Notwithstanding the foregoing, Buyer shall only pay the Quality A Price in the event Buyer exercises its option to elect Quality A Coal at the Quality A Price in accordance with Article I herein.
