Price Adjustment Formula. Price Adjustment Formula. At the end of the first Contract Year, and at the end of each succeeding Contract Year, the price per Ton of Carbon Dioxide Gas shall be adjusted by the actual percentage change in Buyer’s selling price of LCO2 to all of Buyer’s customers in the Pricing Region, excluding sales to Buyer and Buyer’s affiliates, sales where customers pick up LCO2 at one of Seller’s locations, F.O.B. customers, and sales made in connection with rail shipment.
Price Adjustment Formula. The Base Price(s) expressed in this Agreement shall apply to Product delivered timely in calendar year 2016. Price(s) applicable to timely deliveries in calendar year 2017 and beyond may be adjusted as follows effective the 1st of January of each year (except that Products delivered in 2017 that were scheduled to be delivered in 2016 shall remain priced in 2016 prices and so on):
17.2.1. Prior to the end of September in each year during the Term of this Agreement, Cirrus and Seller shall calculate whether an adjustment will apply to the prior year pricing (starting with the Base Price(s)) for the next calendar year of the Term.
17.2.2. The sole determinant in whether a pricing adjustment to Base Price(s) will be made is the amount of percentage increase or decrease in the “Consumer Price Index” from the second quarter of the current year compared against the second quarter of the year prior. This review shall take place between August 1 and September 1 of each year during the Term. The “Consumer Price Index” referred to is that of the United States Bureau of Labor Statistics Consumer Price Index for All Urban Consumers, U.S. City
