Prevailing Agreement. In the event of any conflict between the terms and conditions of this Agreement and the terms and conditions of any license agreements appearing with or in the software products comprising the Software, this Agreement shall prevail.
Prevailing Agreement. The provisions of this Shareholders’ Agreement shall prevail over any contradictory provision of the Corporate by-laws or regulations. Therefore, in case of doubt on the application, scope or interpretation of any clause of the by-laws or regulations, the provisions established in this Shareholders’ Agreement shall apply in every case. None of the Parties may invoke the provisions of the by-laws or regulations to breach or fail to comply with the provisions established in this Shareholders’ Agreement.
Prevailing Agreement. In the event of any conflict between the provisions of this Agreement and a schedule attached hereto, the provisions of this Agreement shall prevail, unless the relevant clause of the relevant schedule expressly provides that it shall prevail, thereby referencing the clause of this Agreement over which the applicable schedule is intended to prevail.
Prevailing Agreement. To the extent that there is a conflict between, or ambiguity relating to this Quality Assurance Agreement and any other Agreement, the wording of this Quality Assurance Agreement shall govern any and all quality matters.
Prevailing Agreement. This Agreement shall govern, supersede and replace any and all prior agreements, contracts, or understandings between the parties hereto, whether oral or in writing, relating to the matters addressed herein and the contractual relationship of the parties. Any and all of any such prior agreements, contracts or understandings, whether oral or in writing, are superseded and replaced by this Agreement. This agreement may be changed, modified or amended only in writing.
Prevailing Agreement. The parties acknowledge that this Agreement shall constitute the controlling agreement with respect to the alliance between the parties and in the event there is any discrepancy or inconsistency between the terms contained in this Agreement and any of the joint venture agreements, the terms contained in this Agreement shall prevail.
Prevailing Agreement. In the event of any conflict between the provisions of this Deed and the Credit Agreement, the provisions of the Credit Agreement shall prevail except to the extent necessary under English law to maintain the creation or perfection of security, or to preserve the Security Agent’s and the Secured Parties’ rights and remedies under this Deed.
Prevailing Agreement. The provisions of this Mortgage are subject to the provisions of the Shareholders Agreement and in the event of any inconsistency the provisions of the Shareholders Agreement shall prevail over the provisions of this Mortgage, except to the extent necessary under laws of the Cayman Islands to maintain the creation or perfection of security, or to preserve the Chargee’s and the Secured Parties’ rights and remedies under this Mortgage.
Prevailing Agreement. In the case of inconsistency between any term of an Ancillary Facility and of this Agreement, the terms of this Agreement shall prevail.
Prevailing Agreement. This Agreement, together with the Replacement Loan documentation, constitutes the entire agreement between the Kalamalka, Vampt Canada, Vampt USA and Vampt Brewing. In the event of any conflict between the terms of the Replacement Loan documentation, including without limitation the replacement Security documentation, and the terms of this Agreement, the terms of the Replacement Loan documentation shall prevail.
