Common use of Prepayment Charges Clause in Contracts

Prepayment Charges. The Servicer will not waive any part of any Prepayment Charge unless the waiver relates to a default or a reasonably foreseeable default, the Prepayment Charge would cause an undue hardship to the related borrower, the Mortgaged Property is sold by the Mortgagor, the collection of any Prepayment Charge would violate any relevant law or regulation or the waiving of the Prepayment Charge would otherwise benefit the Trust Fund and it is expected that the waiver would maximize recovery of total proceeds taking into account the value of the Prepayment Charge and related Mortgage Loan and doing so is standard and customary in servicing similar Mortgage Loans (including any waiver of a Prepayment Charge in connection with a refinancing of a Mortgage Loan that is related to a default or a reasonably foreseeable default). The Servicer will not waive a Prepayment Charge in connection with a refinancing of a Mortgage Loan that is not related to a default or a reasonably foreseeable default. If a Prepayment Charge is waived other than as permitted by the prior sentence, then the Servicer is required to pay the amount of such waived Prepayment Charge, for the benefit of the Holders of the related Class of Class P Certificates, by depositing such amount into the Distribution Account from its own funds, without any right of reimbursement therefor, together with and at the time that the amount prepaid on the related Mortgage Loan is required to be deposited into the Distribution Account.

The Servicer will shall not waive a Prepayment Charge in connection with a refinancing of a Mortgage Loan that is not related to a default or a reasonably foreseeable default. If To the extent that the Servicer waives a Prepayment Charge is waived other than as permitted by in accordance with the prior sentenceterms of this paragraph, then the Servicer is required to pay it shall remit the amount of such waived Prepayment Charge, Charge to the Collection Account for distribution as provided in Section 4.10. Once the benefit of the Holders of the related Class of Class P Certificates, by depositing such amount into the Distribution Account from its own funds, without any right of reimbursement therefor, together with and at the time that the amount prepaid on the related Mortgage Loan is required to be amounts deposited into the Pool Policy Account equals the Required Pool Policy Account Deposit, then any Prepayment Charges waived by the Servicer other than in accordance with the terms of this paragraph shall be remitted to the Collection Account for distribution as part of Available Funds on the immediately succeeding Distribution AccountDate.
