Common use of Prepayment Certificate Clause in Contracts

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a) through 2.14(e), Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow, as the case may be. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a) through 2.14(e2.14(d), Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net cash proceeds or Consolidated Excess Cash Flow, as the case may be. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a2.11(a) through 2.14(e2.11(e), Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow, as the case may be. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Lead Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excessLoans, and Lead Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Concurrently with any prepayment of the Loans and/or reduction of the Commitments pursuant to Sections 2.14(a) through 2.14(e)this Section 2.11, Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow, as the case may beproceeds. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans and/or permanent reduction of the Commitments in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excessTerm Loans, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent Agents a certificate of an Authorized Officer demonstrating the derivation of such excess.

Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a) through 2.14(e)Term Loan, Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flowand compensation owing to Lenders under Section 2.8(b), if any, as the case may be. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans Term Loan in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a) through 2.14(e2.12(a), the Borrower shall deliver to the Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Net Cash Flow, as the case may beProceeds. In the event that Borrower shall subsequently determine that the actual amount of Net Cash Proceeds received exceeded the amount set forth in such certificate, the Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excessexcess in accordance with Section 2.12(a), and the Borrower shall concurrently therewith deliver to the Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to the lesser of (x) the outstanding amount of the Loans at such time and (y) an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a) through 2.14(e2.13(a)-(e), Borrower Company shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds, or other applicable proceeds or Consolidated Excess Cash Flowgiving rise to the prepayment, as the case may be. In the event that Borrower Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower Company shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower the Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower the Company shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower the Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Concurrently with any prepayment of the Loans Term Loan pursuant to Sections 2.14(aSection 2.10(a) through 2.14(eSection 2.10(dc), Borrower Company shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flowand compensation owing to Lenders pursuant to the Fee Letter, if any, as the case may be. In the event that Borrower Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower Company shall promptly make an additional prepayment of the Loans in an amount equal to such excessLoans, and Borrower Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a) through 2.14(e2.11(a)-(e), Borrower Company shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds, Cash Flow or other applicable financial tests or proceeds or Consolidated Excess Cash Flowgiving rise to the prepayment, as the case may be. In the event that Borrower Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower Company shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a2.15(a) through 2.14(e2.15(f), Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating in reasonable detail the calculation of the amount amounts and sources of the applicable net proceeds or Consolidated Excess Cash Flow, as the case may be. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excessLoans, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a2.13(a) through 2.14(e2.13(i), Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow, as the case may beFlow and compensation owing to Lenders under Section 2.10(b). In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excessLoans, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower Xxxxxxxx shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans Obligations due and owing as of such date in an amount equal to such excess, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

Concurrently with any prepayment of the Loans pursuant to Sections Section 2.14(a) through 2.14(e), Borrower shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds or Consolidated Excess Cash Flow, as the case may beNet Insurance/Condemnation Proceeds. In the event that Borrower shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower shall promptly make an additional prepayment of the Loans based on the formula set forth in an amount equal to such excessSection 2.14(a) above, and Borrower shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.

In the event that Borrower Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower Company shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized a Chief Financial Officer demonstrating the derivation of such excess.

Prepayment Certificate. Concurrently with any prepayment of the Loans pursuant to Sections 2.14(a2.11(a) through 2.14(eand 2.11(b), Borrower Company shall deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the calculation of the amount of the applicable net proceeds Net Asset Sale Proceeds or Consolidated Excess Cash Flow, as the case may be. In the event that Borrower Company shall subsequently determine that the actual amount received exceeded the amount set forth in such certificate, Borrower Company shall promptly make an additional prepayment of the Loans in an amount equal to such excess, and Borrower Company shall concurrently therewith deliver to Administrative Agent a certificate of an Authorized Officer demonstrating the derivation of such excess.
