Preexisting Relationship or Experience. (S)he has a preexisting personal or business relationship with the Company or one or more of its Members, or by reason of his or her business or financial experience (s)he is capable of evaluating the risks and merits of an investment in the Company and of protecting his or her own interests in connection with this investment.
Preexisting Relationship or Experience. By reason of its business or financial experience, or by reason of the business or financial experience of its financial advisor who is unaffiliated with and who is not compensated, directly or indirectly, by the Company or any Affiliate or selling agent of the Company, such Member is capable of evaluating the risks and merits of an investment in the Units and of protecting its own interests in connection with this investment.
Preexisting Relationship or Experience. (i) He, she, or it has a preexisting personal or business relationship with the Partnership or one or more of its officers, General Partner or control persons or (ii) by reason of his or her business or financial experience, or by reason of the business or financial experience of his or her financial advisor who is unaffiliated with and who is not compensated, directly or indirectly, by the Partnership or any affiliate or selling agent of the Partnership, he, she, or it is capable of evaluating the risks and merits of an investment in the Percentage Interest and of protecting his or her own interests in connection with this investment.
Preexisting Relationship or Experience. (a) The Member has a preexisting personal or business relationship with the Company or one or more of its Managers, officers or control persons or (b) by reason of the Member's business or financial experience, or by reason of the business or financial experience of the Member's financial advisor who is unaffiliated with and who is not compensated, directly or indirectly, by the Company or any Affiliate or selling agent of the Company, the Member is capable of evaluating the risks and merits of an investment in its Membership Interest and of protecting the Member's own interests in connection with the investment.
Preexisting Relationship or Experience. Such Member has a preexisting personal or business relationship with the Company or the Manager, or by reason of such Member’s business or financial experience, such Member is capable of evaluating the risks and merits of an investment in the Company and of protecting such Member’s its own interests in connection with this investment.
Preexisting Relationship or Experience. (i) Purchaser has a preexisting personal or business relationship with Company and/or one or more of its Managers (as defined in the Operating Agreement), officers or control persons, or (ii) by reason of Purchaser’s business or financial experience, or by reason of the business or financial experience of Purchaser’s financial advisor who is unaffiliated with and who is not compensated, directly or indirectly, by Company or any Affiliate (as defined in the Operating Agreement) or selling agent of Company, Purchaser is capable of evaluating the risks and merits of an investment in the Interests and of protecting Purchaser’s own interests in connection with this investment.
Preexisting Relationship or Experience. Each Member is capable of evaluating the risks and merits of an investment in the Company and of protecting his, her or its own interests in connection with this investment. Each Member has been afforded ample opportunity to investigate the business of the Company, and its proposed Business, as well as to ask any questions of the Company or the Manager and has been satisfied with the responses to any such questions.
Preexisting Relationship or Experience. By reason of its business or financial experience, or by reason of the business or financial experience of its financial advisor who is unaffiliated with and who is not compensated, directly or indirectly, by the Company or NP Land or any of their respective Affiliates, each of Millennium and Nevada Palace is capable of evaluating the risks and merits of an investment in the Preferred Units and the NP Land Units, as applicable, and of protecting its own interests in connection with such investments.
Preexisting Relationship or Experience. By reason of its business or financial experience, or by reason of the business or financial experience of its financial advisor who is unaffiliated with and who is not compensated, directly or indirectly, by any Selling Party, each of AcquisitionCo and LandCo is capable of evaluating the risks and merits of an investment in the Preferred Units and the NP Land Units, respectively, and of protecting its own interests in connection with such investments.
Preexisting Relationship or Experience. It has a preexisting personal or business relationship with the Company, the Board or one or more of its officers or controlling persons, which may include its position as an officer or employee of the Company, or by reason of its business or financial experience (including, without limitation, experience in making investments similar to its investment in the Company), it is capable of evaluating the risks and merits of an investment in the Company and of protecting its own interests in connection with this investment. It has been afforded ample opportunity to ask any questions of the Company and the Board, and has been satisfied with the responses to any such questions.
