Common use of Pre-completion termination Clause in Contracts

Pre-completion termination. (a) Subject to clause 21, this agreement shall terminate automatically at the Longstop Time if the Condition has not then been satisfied. (b) The Purchaser may terminate this agreement at any time before Completion by notice to the Seller if the Purchaser considers, acting reasonably, that there has been: (i) a material breach by the Seller of clause 7.1 or 7.2; or (ii) a Material Adverse Change.
