PRE-COMPLETION MATTERS. 5.1 During the period from the date of this Agreement to Completion each of the Vendors shall perform their obligations as set out in Schedule 3.
PRE-COMPLETION MATTERS. 5.1 Each of the Vendor and the Purchaser shall fully cooperate with the other Party for the purpose of providing such information and assistance as shall be reasonably required by the other Party for implementing and completing the transactions contemplated under this Agreement.

PRE-COMPLETION MATTERS. 6.01 The Vendor hereby undertakes to the Purchaser that the business of the Group from the date of this Agreement up to (and including) Completion will be operated in a normal and prudent manner and in the ordinary course of day-to-day operations. The Vendor further undertakes to the Purchaser that it will not do or will not omit to do (or allow to be done) any act or thing (in either case whether or not in the ordinary course of day-to-day operations) which is material and in particular (but without limiting the generality of the foregoing) will procure that no member of the Group will prior to Completion (without the prior written consent of the Purchaser):
