PRC Legal Opinion. Leading Asia, the Shareholder and Deerfield shall have received an opinion from Leading Asia's legal counsel in the People's Republic of China, confirming the legality under Chinese laws of the restructuring being effected by Leading Asia in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to Leading Asia, the Shareholder and Deerfield.
PRC Legal Opinion. Purchaser shall have received from the PRC counsel to the Company, a legal opinion in a form to be agreed between the Company and Purchaser prior to the Closing, dated as of the Closing (which shall cover substantially, among other matters, the matters set forth in the legal opinions delivered in connection with the issuance of the Series G-1 Preferred Shares to the Rollover Shareholder, but revised to cover the Xiaodu PRC Companies).
PRC Legal Opinion. It is acknowledged that the following items shall be included in the executed PRC legal opinion dated as of the Closing subject to necessary assumptions, customary qualifications added therein, those disclosed in the disclosure schedule and the actual conditions relevant to the following items as of the Closing.
PRC Legal Opinion. Xiangrui and Shareholder shall have received an opinion from Xiangrui’s legal counsel in the People’s Republic of China, confirming the legality under Chinese laws of the restructuring being effected by Xiangrui in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to Xiangrui and Shareholder.
PRC Legal Opinion. SMSA shall have received an opinion from Xiangrui’s legal counsel in the People’s Republic of China, confirming the legality under Chinese laws of the restructuring being effected by Xiangrui in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to SMSA.
PRC Legal Opinion. Sunnyside and Max Time shall have received a satisfactory PRC legal opinion from PRC counsel, Shanghai Comon Law Firm.
PRC Legal Opinion. TripMart, the Shareholders and BDS shall have received an opinion from TripMart' legal counsel in the People's Republic of China, confirming the legality under Chinese laws of the restructuring being effected by TripMart in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to TripMart, the Shareholders and BDS.
PRC Legal Opinion. Leewell, Longhai and Dragon Acquisition shall have received an opinion from Leewell’s legal counsel in the People’s Republic of China, confirming the legality under Chinese laws of the restructuring being effected by Leewell in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to Leewell, Longhai and Dragon Acquisition.
PRC Legal Opinion. Prior to Closing and at their expense HCP shall provide a legal opinion from a Peoples’ Republic of China licensed law firm stating that consummation of this transaction will comply with all applicable laws, rules and policies of the government of the People’s Republic of China, the Ministry of Commerce of the Peoples’ Republic of China and the Peoples’ Republic of China State Administration of Foreign Exchange. The opinion shall also state that HCP is the sole legal owner of Weifang Xinsheng Food Co., Ltd. (“Weifang”) and that Weifang is a 100% owned subsidiary of HCP and that at Closing 100% of the issued and outstanding shares of HCP were validly transferred to MSAH.
PRC Legal Opinion. DK, the Shareholder and Lansdowne shall have received an opinion from DK’s legal counsel in the People’s Republic of China, confirming the legality under Chinese laws of the restructuring being effected by DK in connection with the Transactions and the enforceability of this Agreement and that is otherwise satisfactory to DK, the Shareholder and Lansdowne
