Practical Training on Aircraft. Notwithstanding Clause 16.8.1 above, upon the Buyer’s request, the Seller may provide Instructors for the performance of practical training on aircraft (“Practical Training”). Irrespective of the location at which the training takes place, the Buyer will provide at its own cost an aircraft for the performance of the Practical Training. Should the Buyer require the Seller’s Instructors to provide Practical Training at facilities selected by the Buyer, such training will be subject to prior approval of the facilities by the Seller. All costs related to such Practical Training, including but not limited to the Seller’s approval of the facilities, will be borne by the Buyer. The provision of a Seller Instructor for the Practical Training will be deducted from the trainee days allowance defined in Appendix A to this Clause 16, subject to the conditions detailed in Paragraph 4.4 thereof.

Practical Training on Aircraft. If the practical training does not need to be covered by an EASA – Part 147 (or equivalent) certificate, the Seller may assist the Operator in organizing such practical training on aircraft, at the relevant Operator’s expense. In the event of an Operator requiring a full EASA – Part 147 certificate from the Seller, the practical training on aircraft shall be conducted by the Seller, at the relevant Operator’s expense, in a EASA – Part 145 facility approved and selected by the Seller. In the event of an Operator requiring such practical training to be conducted at the relevant Operator’s EASA – Part 145 (or equivalent) approved facilities, such training shall be subject to prior approval by the Seller of the facilities at which the training is to be conducted.

If the Buyer wishes to perform Practical Training at a third party facility without requiring a formal FAR – Part 147 (or equivalent or other applicable Aviation Authority) certificate, the Seller may assist the Buyer in organizing such Practical Training as set forth above. In the event of the Buyer requiring a full FAR – Part 147 (or equivalent or other applicable Aviation Authority) certificate from the Seller, the Practical Training shall be conducted by the Seller in an FAR – Part 147 facility approved and selected by the Seller. In the event of the Buyer requiring such Practical Training to be conducted at the Buyer’s FAR – Part 145 (or equivalent or other applicable Aviation Authority) approved facilities, such training shall be subject to prior approval by the Seller of the facilities at which the Practical Training is to be conducted.
