Power of Entry. The Debtor shall forthwith upon demand assemble and deliver to the Collateral Agent possession of all of the Collateral at such place or places as may be reasonably specified by the Collateral Agent. The Collateral Agent may take such steps as it considers necessary or desirable to obtain possession of all or any part of the Collateral and, to that end, the Debtor agrees that the Collateral Agent, its servants or agents or Receiver (as hereinafter defined) may, at any time, during the day or night, enter upon lands and premises where the Collateral may be found for the purpose of taking possession of and/or removing the Collateral or any part thereof. The Licensee shall permit any duly authorized representative of the University during normal business hours and at the University's sole risk and expense with two days notice to enter upon and into any premises of the Licensee for the purpose of inspecting the Products and the manner of their manufacture and the use of the Materials and the Technology and generally of ascertaining whether or not the provisions of this Agreement have been, are being, or will be complied with by the Licensee.
