Potential Unfair Competition. Executive acknowledges and agrees that as a result of Executive’s employment with Employer, Executive’s knowledge of and access to Confidential Information, and relationships with Employer’s customers and employees, Executive would have an unfair competitive advantage if Executive were to engage in activities in violation of this Agreement.

Executive acknowledges and affirms that Executive has executed this Agreement voluntarily, has read this Agreement carefully, and had a full and reasonable opportunity to consider this Agreement (including an opportunity to consult with legal counsel), and that Executive has not been pressured or in any way coerced, threatened, or intimidated into signing this Agreement. Feehan acknowledges and agrees that as a result of his employment with the Company, his knowledge of and access to Confidential Information, and his relationships with the Company’s customers and employees, Feehan would have an unfair competitive advantage if Feehan were to engage in activities in violation of this Section 8.

Associate acknowledges and agrees that as a result of Associate’s employment with the Company, knowledge of and access to Confidential Information, and relationships with the Company’s customers, franchisees and Associates, Associate would have an unfair competitive advantage if Associate were to engage in activities in violation of the covenants set forth in this Agreement. Associate further acknowledges and agrees that such covenants are reasonable and necessary to protect the Company’s legitimate business interests.

Unitholder acknowledges and agrees that as a result of the consideration he/she is receiving in connection with the Transaction, his/her knowledge of and access to Confidential Information, and his/her relationships with the Company’s Customers and employees, he/she would have an unfair competitive advantage if he/she were to engage in activities in violation of this Agreement.
