Potential Unfair Competition Sample Clauses
The Potential Unfair Competition clause is designed to prevent parties from engaging in business practices that could be considered unfair or detrimental to the other party’s competitive position. Typically, this clause restricts one or both parties from using confidential information, trade secrets, or other proprietary knowledge gained during the relationship to compete directly or indirectly with the other party. For example, it may prohibit a former employee from starting a similar business or soliciting clients for a certain period after leaving. The core function of this clause is to protect legitimate business interests and maintain fair competition by reducing the risk of misuse of sensitive information or relationships.
Potential Unfair Competition. Executive acknowledges and agrees that as a result of Executive’s employment with Employer, Executive’s knowledge of and access to Confidential Information, and relationships with Employer’s customers and employees, Executive would have an unfair competitive advantage if Executive were to engage in activities in violation of this Agreement.
