Post Closing - USR. USR acknowledges that the Shareholders may require legal opinions on the removal of the restrictive legends on the share certificates pursuant to Rule 144 of the 1933 Act in order to sell their USR Shares in the future. When a Shareholder reasonably requests it of USR, USR will pay for an attorney of USR’s choice to supply the legal opinion the Shareholder and will cooperate fully in providing the Shareholders with all information and documentation reasonably requested.
