Common use of Position and Responsibilities Clause in Contracts

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Vice President of Retail/Merchant Operations of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Executive Vice President of Retail/Merchant Operations and Chief Operating Officer of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Executive Vice President of Retail/Merchant Operations – Commercial Lending of the Bank (the “Executive Position”), and will perform the all duties and will have all powers associated with those positions such position as set forth in any the job description provided to for such Executive Position as established by the Bank, and as may be set forth in the bylaws of the BankEmployer. During the term of this the Agreement, Executive also agrees to serve, if elected, as an officer and/or director of any subsidiary or affiliate of the Bank Employer and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Vice President of Retail/Merchant Operations President, Treasurer and General Counsel of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Executive Vice President of Retail/Merchant Operations and Chief Financial Officer of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer or director of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

During the term of this Agreement, Executive agrees to serve as Senior Vice President of Retail/Merchant Operations Loan Administration of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Vice President of Retail/Merchant Operations Finance of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Agreement Executive agrees to shall serve as Senior Vice President, Chief Financial Officer and Treasurer, and Executive accepts such employment, subject to the terms and conditions set forth in this Agreement. Executive shall have such duties, responsibilities and powers as are set forth by the Board of Directors of the Bank, the Chief Executive Officer and/or the President of Retail/Merchant Operations of the Bank (the “Executive Position”), and will perform the provided that such duties and will have all powers associated are generally consistent with those positions as set forth in any job description provided to Executive by the BankSenior Vice President, Chief Financial Officer and as may be set forth in the bylaws of the Bank. During the term of this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeTreasurer.

Position and Responsibilities. During the term of this Agreement, Agreement Executive agrees to serve as Senior Vice President of RetailPresident/Merchant Operations Retail Banking and Sales of the Bank (the “Executive Position”), and will perform the all duties and will have all powers associated with those positions as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws description attached hereto as Appendix A. Executive shall report to the President and Chief Executive Officer of the Company and the Bank. During the term of this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that office.

During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Senior Executive Vice President of Retail/Merchant Operations and Chief Operating Officer of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Executive Vice President of Retail/Merchant Operations and Chief Financial Officer of the Bank or any successor position with the Bank that is agreed to and consented by Executive (the aforementioned position is referred to as the “Executive Position”), and . Executive will perform the duties and will have all powers associated with those positions such Executive Position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to shall serve as Senior Vice President and Chief Financial Officer of Retail/Merchant Operations the Bank. Executive shall have such duties, responsibilities and powers as are customary and appropriate for such offices, including without limitation, keeping the board of directors of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws "Board") fully informed of the Bank. During the term of this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officehis activities.

During Executive shall be responsible for asset/liability management, management of the term of this Agreement, Executive also agrees to serve, if electedsecurities portfolio and investor relations, as an officer of any subsidiary or affiliate of well as such other duties as are assigned to him from time to time by the Bank and in that capacity will carry out Chief Executive Officer. Executive shall directly report to the duties and responsibilities reasonably appropriate to that officeChief Executive Officer.

During the term of this Agreement, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeBank.

During the term of this Agreement, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeBank.

During the term of this Agreement, Executive agrees to serve as Executive Vice President of Retail/Merchant Operations and Chief Credit Officer of the Bank (the “Executive Position”), and will perform the duties and will have all powers associated with those positions such position as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer or director of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

During the term of this Agreement, Executive agrees to serve as Executive Vice President of Retail/Merchant Operations - Commercial Lending of the Bank (the “"Executive Position”"), and will perform the all duties and will have all powers associated with those positions such position as set forth in any the job description provided to for such Executive Position as established by the Bank, and as may be set forth in the bylaws of the BankEmployer. During the term of this the Agreement, Executive also agrees to serve, if elected, as an officer and/or director of any subsidiary or affiliate of the Bank Employer and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

Position and Responsibilities. During the term of this Agreement, Executive agrees to serve as Executive Vice President, Regional President of Retail/Merchant Operations and Chief Deposit Officer of the Bank (referred to herein as the “Executive Position”), ) and will perform the duties and will have all powers associated with those positions as the responsibilities set forth in any job description provided on Schedule 1 to this Agreement. Executive by shall report directly to the Bank, and as may be set forth in the bylaws Chief Executive Officer of the Bank. During the term of period provided in this Agreement, Executive also agrees to serve, if elected, as an officer or director of any subsidiary or affiliate of the Bank and in that such capacity will carry out the such duties and responsibilities reasonably appropriate to that office.

During the term of this Agreement, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeBank.

Position and Responsibilities. During the term of this Agreement, Executive also agrees to serve, if elected, as an officer and director of any subsidiary or affiliate of the Bank and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeBank.

During the term of this Agreement, Agreement Executive agrees to shall serve as Senior Vice President and Chief Lending Officer, and Executive accepts such employment, subject to the terms and conditions set forth in this Agreement. Executive shall have such duties, responsibilities and powers as are set forth by the Board of Retail/Merchant Operations Directors of the Bank (and/or the “President and Chief Executive Position”), and will perform the duties and will have all powers associated with those positions as set forth in any job description provided to Executive by the Bank, and as may be set forth in the bylaws of the Bank. During the term of this Agreement, Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate Officer of the Bank provided that such duties are generally consistent with those as Senior Vice President and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeChief Lending Officer.

Executive shall have such duties, responsibilities and powers as are set forth by the bylaws Board of Directors of the Bank. During , the term of this Agreement, Chief Executive also agrees to serve, if elected, as an officer of any subsidiary or affiliate Officer and/or the President of the Bank provided that such duties are generally consistent with those as Senior Vice President and in that capacity will carry out the duties and responsibilities reasonably appropriate to that officeChief Credit Officer.
