Common use of Portfolio Management Clause in Contracts

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s 's Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s 's Board of Directors/Trustees Directors (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment the Manager and the Fund’s Board of Directors/Trustees Trustees, Sub-Adviser shall manage the Allocated Assets in accordance with the investment strategy applicable to such assets as disclosed in the Funds’ Prospectus(es) (the “BoardInvestment Strategy”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the each Fund’s investment objectives, policies, and restrictions, limitations, and applicable sustainability criteria (as set forth in that Fund’s Prospectus(es) and Statement(s) of Information (“SAI(s)”) and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager the Adviser and the Fund’s Trusts’ Board of Directors/Trustees (the “Board”), the Subadviser shall manage the investment operations and the composition of that such portion of the assets of the Fund which Series that is allocated to Subadviser from time to time it by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereofAdviser, in accordance with the Fund’s Series’ investment objectives, policies, policies and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s 's Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which the “Assets”)(which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and sustainability criteria (as set forth in the Fund’s Prospectus) and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager Adviser and the FundTrust’s Board of Directors/Trustees (the “Board”), Subadviser Sub-Adviser shall manage the investment operations and the composition of that a portion of the Fund’s assets of the Fund which is allocated to Subadviser Sub-Adviser from time to time by Investment Manager Adviser (which portion may include any or all of the Fund’s assets) (the “Assets”), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and sustainability criteria (as set forth in the Fund’s Prospectus) and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees Directors (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictionsrestrictions (in each case, to the extent such objectives, policies and restrictions have been communicated to the Subadviser), and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which that is allocated to Subadviser from time to time by Investment Manager (which portion may be changed by Investment Manager upon prior written notice to Subadviser and may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictionsrestrictions set forth in Schedule B attached hereto, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Funds' Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund Funds which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s Funds' assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s Funds' investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager Adviser and the FundTrust’s Board of Directors/Trustees (the “Board”), Subadviser Sub-Adviser shall manage the investment operations and the composition of that a portion of the Funds’ assets of the Fund which is are allocated to Subadviser Sub-Adviser from time to time by Investment Manager Adviser (which portion may include any or all of the Fund’s Funds’ assets) (the “Assets”), including the purchase, retention, and disposition thereof, in accordance with the Fund’s Funds’ investment objectives, policies, and restrictions, and sustainability criteria (as set forth in the Funds’ Prospectus) and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is or the portion of the Fund’s assets allocated to the Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictionsrestrictions as set forth in the Fund’s prospectus (“Prospectus”) and the Fund’s Statement of Additional Information (“SAI”) as the same may be revised from time to time, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment -------------------- Manager and the Fund’s 's Board of Directors/Trustees Directors (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage on a discretionary basis, without prior consultation with Investment Manager or the Board, the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, policies and restrictions, and subject to the following understandings:

Subject to supervision by the Investment Manager and the Fund’s Board of Directors/Trustees Directors (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations investments and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment the Manager and the Fund’s Board of Directors/Trustees (the “Board”)Trustees, Subadviser Sub-Adviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), Allocated Assets including the purchase, retention, and disposition thereof, in accordance with the each Fund’s investment objectives, policies, and restrictions, limitations, and applicable sustainability criteria (as set forth in that Fund’s Prospectus(es) and Statement(s) of Information (“SAI(s)”) and subject to the following understandings:

Subject to supervision by Investment Manager and the Fund’s 's Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s 's Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which the "Assets")(which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and sustainability criteria (as set forth in the Fund's Prospectus) and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Funds' Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of each of the Fund Funds which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s Funds' assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s Funds' investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s 's Board of Directors/Trustees Directors (the “"Board”"), Subadviser Subadvisor shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser Subadvisor from time to time by Investment Manager (which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictionsrestrictions as set forth in the Fund’s Prospectus and SAI (as such terms are defined below), and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations of the Fund and the composition of that portion of the assets of allocated to the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets)Manager, including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictionsrestrictions contained in the Fund’s Prospectus (as defined below) and SAI (as defined below), and subject to the following understandings:

Subject to supervision by Investment Manager -------------------- and the Fund’s 's Board of Directors/Trustees Directors (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Subject to supervision by Investment Manager and the Fund’s Funds' Board of Directors/Trustees (the “"Board”"), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund Funds which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the a Fund’s 's assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s 's investment objectives, policies, and restrictions, and subject to the following understandings:

Subject to supervision by Investment Manager Adviser and the Fund’s Board of Directors/Trustees Directors (the “Board”), Subadviser Sub-Adviser shall manage the investment operations and the composition of that portion of all the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:

Portfolio Management. Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, in accordance with the Fund’s investment objectives, policies, and restrictionsrestrictions as set out in the Prospectus (as hereinafter defined) and the SAI (as hereinafter defined), and subject to the following understandings:

Subject to supervision by Investment Manager and the Fund’s Board of Directors/Trustees (the “Board”), Subadviser shall manage the investment operations and the composition of that portion of the assets of the Fund which is allocated to Subadviser from time to time by Investment Manager (which portion may include any or all of the Fund’s assets), including the purchase, retention, and disposition thereof, thereof in accordance with the Fund’s investment objectives, policies, and restrictions, and subject to the following understandings:
