Common use of Plant Maintenance Clause in Contracts

Plant Maintenance. Gatherer shall perform all inspections, maintenance, testing, alterations, modifications, expansions, connections, repairs or replacements to its Plants and Plant-related facilities as Gatherer deems necessary to perform its obligations under the Agreement (“Plant Maintenance”) No less than thirty (30) Days prior to the beginning of each Contract Year, Gatherer shall provide Shipper in writing with an estimated schedule of the Plant Maintenance to be performed during the succeeding Contract Year. Gatherer anticipates annual Plant Maintenance activities up to the following approximate durations (the “Maximum Maintenance”): (i) up to ten (10) Days per year of partial or full capacity curtailment for preventative maintenance and safety adjustments with respect to the Plants; and, (ii) up to twenty (20) Days partial or full capacity curtailment with respect to each Plant every four (4) years for Plant overhaul Plants will be rotated over the four (4) year cycle to minimize volume impact. Gatherer shall be entitled, without liability, to interrupt its performance hereunder to perform Maximum Maintenance, except in cases of emergency where Plant Maintenance is immediately required in the reasonable judgment and opinion of Gatherer.
