Common use of Plan Administrator Duties Clause in Contracts

Plan Administrator Duties. This Agreement shall be administered by a Plan Administrator consisting of the Board of Directors of the Employer or such committee or person(s) as the Board of Directors of the Employer shall appoint. The Plan Administrator shall have the sole and absolute discretion and authority to interpret and enforce all appropriate rules and regulations for the administration of this Agreement and the rights of the Executive under this Agreement, to decide or resolve any and all questions or disputes arising under this Agreement, including benefits payable under this Agreement and all other interpretations of this Agreement, as may arise in connection with the Agreement, and in accordance with section 409A of the Code.

Plan Administrator Duties. This Agreement shall be administered by a Plan Administrator consisting which shall consist of the Board of Directors Chairman of the Employer Board, Chief Executive Officer, and Chief Operating Officer, or such other committee or person(s) as the Board of Directors of the Employer shall appoint. The Plan Administrator shall administer this Agreement according to its express terms and shall also have the sole and absolute discretion and authority to (i) make, amend, interpret and enforce all appropriate rules and regulations for the administration of this Agreement and the rights of the Executive under this Agreement, to (ii) decide or resolve any and all questions or disputes arising under this Agreement, including benefits payable under this Agreement and all other interpretations of this Agreement, as may arise in connection with the Agreement, Agreement to the extent the exercise of such discretion and in accordance authority does not conflict with section Section 409A of the CodeCode and regulations thereunder.
