Placement Agency Agreement. This Agreement has each been duly authorized, executed and delivered by such Selling Stockholder and constitutes a valid and binding obligation of such Selling Stockholder, enforceable in accordance with its terms, except as rights to indemnification and contribution hereunder may be limited by applicable law and except as the enforcement hereof may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws relating to or affecting the rights and remedies of creditors or by general equitable principles.
Placement Agency Agreement. The Company shall promptly review the form of placement agency agreement for auctions previously provided by the Seller and assemble any necessary information so that the placement agency agreement is in substantially complete form on or before July 31, 2014. In addition, the Company shall take such other actions as are necessary so that the Seller shall be in a position to immediately auction the Shares if this Agreement is terminated pursuant to Article VI.
Placement Agency Agreement. The Company has full legal right, power and authority to enter into and perform this Agreement and to consummate the transactions contemplated herein. This Agreement has been duly authorized, executed and delivered by the Company, and is a valid and binding agreement of the Company, enforceable in accordance with its terms, except as rights to indemnification or contribution hereunder may be limited by applicable law and except as the enforcement hereof may be limited by bankruptcy, insolvency, reorganization, moratorium or other similar laws relating to or affecting the rights and remedies of creditors or by general equitable principles.
Placement Agency Agreement. The Company and JCA shall promptly negotiate a definitive Placement Agency Agreement with respect to this Initial Project. This Placement Agency Agreement shall contain language stipulating that JCA shall complete the offering within forty-five (45) days from the date of the Private Placement Memorandum being sales ready (the "Initial Offering Period"); the Company and JCA may mutually agree to extend the Initial Offering Period for an additional forty-five (45) days. Furthermore, the form and substance of the Placement Agency Agreement is expected to be similar to previous Placement Agency Agreements which JCA has been a party thereof.

The Placement Agency Agreement contains certain representations and warranties of the Company. The Company acknowledges and agrees that the Investor may rely on the representations and warranties made by it to the Placement Agents in Section 1 of the Placement Agency Agreement to the same extent as if such representations and warranties had been incorporated in full herein and made directly to the Investor. Capitalized terms used, but not otherwise defined, herein shall have the meanings ascribed to such terms in the Placement Agency Agreement.
