Common use of Place and Date Clause in Contracts

Place and Date. The closing (the “Closing”) of the exchange transaction contemplated by this Agreement shall take place at the offices of Moritt ▇▇▇▇ & Hamroff LLP, located at ▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇▇▇, ▇▇▇ ▇▇▇▇ ▇▇▇▇▇, commencing at 10:00 a.m. on May 12, 2011 (or at such other place, on such other date and/or at such other time as the parties may agree in writing) (in either case, the “Closing Date”). Notwithstanding anything to the contrary contained in this Agreement, the effective date of the consummation of the transactions contemplated by this Agreement shall be May 12, 2011.
