Personal Property and Equipment. Seller is the owner of the Equipment free and clear of all liens and encumbrances other than those to be released at Closing. Other than in connection with normal and customary prudent operations, Seller has not removed any personal property, equipment, or fixtures from the Xxxxx, unless it has been replaced with personal property, equipment, or fixtures of similar grade and utility. Unless removed, repaired, or replaced (a) with personal property, equipment, and fixtures of similar grade and utility or (b) in connection with normal and customary prudent operations, the personal property, equipment, and fixtures currently attendant to the Xxxxx was the equipment historically used by Seller on the Xxxxx to produce the Hydrocarbons prior to the execution of this Agreement.

If the Lien of this Deed of Trust is subject to a security interest covering any property described in this GRANTING CLAUSE II, then all of the right, title and interest of the Grantor in and to any and all such property is hereby assigned to the Beneficiary, together with the benefits of all deposits and payments now or hereafter made thereon by or on behalf of the Grantor, and subject to all of the liens of, and terms and conditions applicable to, such security interest.

Personal Property and Equipment. The prior operator of the Shipyard abandoned significant personal property and equipment which remain on the Premises as of the Commencement Date and may be made available for use by Tenant. If Tenant uses such personal property, except as otherwise provided in this Lease, Tenant shall maintain, repair and replace in good and working order, condition and repair all such personal property. Schedule 2 contains an inventory of significant items of personal property abandoned by the former operator.
