Personal License. The above described license is personal to the Buyer, nontransferable and nonexclusive.

In the event of a sale or merger of the Licensee to a direct competitor of ATML, ATML will in principal be prepared to negotiate a license with the acquiring company under similar terms and conditions as in this agreement, provided that the use of such Licensed Technology is in the core business market of the Licensee as defined in Schedule 2. Such agreement with the acquiring company will not be unreasonably withheld.
