Personal Data Inquiries and Requests. Where required by Data Protection Laws, Service Provider agrees to provide reasonable assistance and comply with reasonable instructions from Company related to any requests from individuals exercising their rights in Company Personal Data granted to them under Data Protection Laws.

At Client’s request and without undue delay, Planful will use commercially reasonable measure to assist Client in answering or complying with any Privacy Request in so far as it is possible.

The obligations under this provision shall apply solely where and to the extent required by Applicable Data Protection Law.

Customer agrees that it shall not use the Outreach Services to Process Sensitive Personal Data without Outreach’s explicit and prior written consent. EU - U.S. Compliance Cross-Border Data Transfer Mechanism. The parties acknowledge and agree that to the extent Outreach Processes any Customer Personal Data under the Agreement, any related Order Forms or Exhibits, outside the EEA in a country that has not been designated as providing an adequate level of protection for Personal Data, Outreach shall be deemed to provide adequate protection under Applicable Data Protection Law(s) for any such Customer Personal Data due to Outreach’s self-certification under the Privacy Shield Principles. Customer will operate as a data Controller and Outreach will operate as a data Processor Processing Customer Personal Data only as necessary for the limited and specified purposes identified in this Addendum, the Agreement and/or any related Order Forms or Exhibits, and in accordance with at least the same level of protection as is required under the applicable Privacy Shield Principles. Additionally, Outreach hereby expressly agrees to assist Customer with any request from the US Department of Commerce to provide the relevant privacy provisions of this Addendum and the Agreement. Outreach will provide Customer with reasonable prior written notice if it can no longer meet its obligations under the Privacy Shield or if it plans not to renew its certification under the Privacy Shield, at which time, as the parties’ sole remedy, the parties will negotiate entry into an alternative data transfer solution, including entering into the European Commission Standard Contractual Clauses for Data Processors (2010/87/EU) (the “Standard Contractual Clauses”) attached hereto as Exhibit A, or any replacement thereof. If Branch receives a request from a Data Subject in relation to their Customer Personal Data, Branch will advise the Data Subject to submit their request to Customer, and Customer will be responsible for responding to any such request.
