Personal Computer Equipment. No personal computers and/or personal electronic devices, such as 17 tablets and laptop computers, or any component thereof may be purchased with 18 funds provided under this Agreement, regardless of purchase price, without 19 prior written approval of ADMINISTRATOR. Any such purchase shall be in 20 accordance with specifications provided by ADMINISTRATOR, be subject to the 21 same inventory control conditions specified in Subparagraphs 17.1.1 to 17.1.4 22 and, at the sole discretion of ADMINISTRATOR, become the property of COUNTY 23 upon termination of this Agreement.

Personal Computer Equipment. Immediately prior to the Closing, the Seller shall remove all data and information with respect to the Intellectual Property Rights and Licensed Rights (other than generally available software) relating to the Assets or Assumed Liabilities stored on personal computing equipment not being transferred to the Purchaser under this Agreement from such personal computing equipment. Prior to the Closing Date the Purchaser and each of the owners of such personal computing equipment shall enter into a confidentiality agreement on customary terms reasonably acceptable to the parties.

BREACH SANCTIONS Failure by CONTRACTOR to comply with any of the provisions, covenants, or conditions of this Agreement shall be a material breach of this Agreement. In such event ADMINISTRATOR may, and in addition to immediate termination and any other remedies available at law, in equity, or otherwise specified in this Agreement: Afford CONTRACTOR a time period within which to cure the breach, which period shall be established by ADMINISTRATOR; and/or Discontinue reimbursement to CONTRACTOR for and during the period in which CONTRACTOR is in breach, which reimbursement shall not be entitled to later recovery; and/or Offset against any monies billed by CONTRACTOR but yet unpaid by COUNTY those monies disallowed pursuant to Subparagraph 18.2 above. ADMINISTRATOR will give CONTRACTOR written notice of any action pursuant to this Paragraph, which notice shall be deemed served on the date of mailing. PAYMENTS
