Permits and License. Contractor represents and warrants that it will comply with all applicable laws and maintain all permits and licenses required by applicable city, county, state, and federal rules, regulations, statutes, codes, and other laws that pertain to this Contract.

Drug-Free Workplace Contractor represents and warrants that it shall comply with the applicable provisions of the Drug-Free Work Place Act of 1988 (41 U.S.C. §701 et seq.) and maintain a drug-free work environment.

Except as set forth on Schedule 3.12, (a) Schedule 2.01(h) contains a complete and accurate list of all material Permits (including applications therefor) used in connection with the Business, all of which are valid, validly issued, remain in effect and good standing, and are legally transferable to Buyer, and (b) there are no material permits required under applicable Legal Requirements in connection with the ownership or operation of the Business or the use and possession of the Assets other than those set forth on Schedule 2.01(h).

Contractor shall immediately notify the County of any revocation, suspension, termination, expiration restrictions, etc., of any required license, registration or certification of any individual or entity to perform the services herein specified.

Kalaeloa shall be responsible for the acquisition of all permits and licenses, and the completion of all environmental review procedures, required for the construction of the Increment Two Capacity Upgrade and operation of the Facility following completion of the Increment Two Capacity Upgrade.

No permit approval or consent given hereunder by County in its governmental capacity shall affect or limit Contractor’s obligations hereunder, not shall any approvals or consents given by County as a party to the Contract, be deemed approval as to compliance or conformance with applicable governmental codes, laws, ordinances, rules, or regulations.

The JV Companies have all Permits necessary for them to own, lease or operate their respective Assets and to conduct the Business as conducted as of the Effective Date, all of which remain in effect and are in good standing and were validly issued, except in each case as would not materially and adversely affect the JV Companies, taken as a whole, or the conduct of the Business.
