Performance by Company. Company shall have performed, satisfied and complied in all respects with all covenants, agreements and conditions required by this Agreement to be performed, satisfied or complied with by the Company at or prior to such Closing.
Performance by Company. This Agreement and the expenditure of Town funds for the Grant is expressly contingent upon Company achieving certain performance requirements and within the time period set forth herein. The requirements are set out in this Section 2.
Performance by Company. The Company shall have performed in all material respects all obligations and agreements, and complied in all material respects with all covenants and conditions, contained in the Merger Agreement and herein to be performed or complied with by it prior to the Closing, and the Vistagreen Group shall have received a certificate signed on behalf of the Company by the chief executive officer or the chief financial officer of the Company to such effect;
Performance by Company. The Company agrees that it will perform, execute, acknowledge and deliver or cause to be performed, executed, acknowledged and delivered all such further and other acts, instruments and assurances as may be reasonably be required by the Rights Agent for the carrying out or performing by the Rights Agent of the provisions of this Agreement.
Performance by Company. Sellers hereby agree to cause the Company to comply with its obligations under this Agreement.
Performance by Company. The Company shall have performed all of its obligations under this Agreement in all material respects. All of the statements, representations and warranties of the Company contained in this Agreement or the Memorandum shall be complete and true in all material respects.
Performance by Company. Except as otherwise agreed in writing, the Company shall have performed in all material respects all obligations and agreements, and complied in all material respects with all covenants, contained in this Agreement to be performed or complied with by it on or prior to the Closing Date, and Parent and Sub shall have received a certificate to this effect from a senior financial officer of the Company.
Performance by Company. As between WFB and Company, Company shall have full responsibility from and after the Effective Date and during the term of this Agreement for the proper performance of the Transaction Card Services under each Merchant Agreement (whether entered into directly by Company or through a Contracted Party).
Performance by Company. The Company shall have performed and complied, in all material respects, with all of its covenants, agreements and obligations hereunder through the Closing;
Performance by Company. Parent shall cause the Company to comply with the provisions of this Agreement. Notwithstanding the foregoing, it is understood and agreed that actions or inactions by the Company shall not be deemed to be breaches or violations or failures to perform by the Company of any of the provisions of this Agreement if such action or inaction was or was not taken, as applicable, at the direction of Parent, any of its Subsidiaries or any of their respective officers.
