Common use of Performance by Affiliates Clause in Contracts

Performance by Affiliates. To the extent that this Agreement imposes obligations on Affiliates of a Party, such Party agrees to cause its Affiliates to perform such obligations.

Performance by Affiliates. A Party may perform any obligation this Agreement imposes on such Party through any of such Party’s Affiliates. To the extent that this Agreement imposes obligations on Affiliates of a Party, such Party agrees to cause its Affiliates to perform such obligations.

Each Party may use one or more of its Affiliates to perform its obligations and duties under this Agreement. Each Party may use one or more of its Affiliates to perform its obligations and duties hereunder, provided that such Party provides prompt written notice to the other Party (subject to Section 3.3) and, further provided that such Party shall remain liable hereunder for the prompt payment and performance of all of its obligations hereunder.

Performance by Affiliates. 12.13.1 A Party may perform any obligation this Agreement imposes on such Party through any of such Party’s Affiliates. To the extent that this Agreement imposes obligations on Affiliates of a Party, such Party agrees to cause its Affiliates to perform such obligations.

Each Party may use one or more of its Affiliates to perform its obligations and duties under this Agreement, provided that such Party provides prompt written notice to the other Party (subject to Section 3.3) and, further provided that such Party shall remain liable under this Agreement for the prompt payment and performance of all of its obligations under this Agreement.

Performance by Affiliates. To the extent that this Agreement imposes obligations on Affiliates of a Party, such Party agrees to cause its Affiliates to perform such obligations. Any obligation of a Party to the other Party under this Agreement, which obligation is performed, satisfied or fulfilled by an Affiliate of such Party, shall be deemed to have been performed, satisfied or fulfilled by such Party.

Performance by Affiliates. To the extent that this Agreement imposes purports to impose obligations on the Affiliates of a Party, such Party agrees to cause its Affiliates to perform such obligations. Xxxxx may use any of its Affiliates to exercise its rights or perform its obligations or duties hereunder; provided, however, that, in each case Xxxxx will remain liable hereunder for the performance of all of its obligations hereunder.
