PERFORMANCE AFTER TERMINATION. Upon termination of this Agreement as provided herein, Consultant shall, within such reasonable time period as may be directed by City Manager, complete those items of work which are in various stages of completion and which City Manager determines are necessary to be completed by Consultant to allow the project to be completed in a timely, logical, and orderly manner. Upon termination, all finished or unfinished documents, data, studies, surveys, drawings, models, photographs, reports, and other materials prepared by Consultant shall be delivered to the City Manager, upon his request, as property of City.
PERFORMANCE AFTER TERMINATION. In any case, upon termination by either party, the parties mutually agree to work together for a maximum of 60 days, unless otherwise agreed upon in writing, to close and fund any applications and loans applied for during the performance of this Agreement.
PERFORMANCE AFTER TERMINATION. If this contract is terminated, whether for cause or at will, Owner shall pay Contractor in full for all services rendered through the effective date of termination. If this Contract ends due to an at-will termination, the parties shall continue performing their obligations pursuant to this Contract until the date that the termination takes effect.
PERFORMANCE AFTER TERMINATION. After receipt of written notice of termination, but prior to the effective date of such termination, the Manager shall continue to perform under this Agreement unless specifically instructed to discontinue such performance.
PERFORMANCE AFTER TERMINATION. Upon termination of this ----------------------------- Agreement pursuant to Section 11.3, * * * , and (b) * * * , that (i) is not contained in * * * , or (ii) has not become available to the public or generally known in the trade other than as a result of the improper action of * * * , or its * * * , who have knowledge thereof.
PERFORMANCE AFTER TERMINATION. To the extent applicable, when this Agreement is terminated, Bank shall have the immediate right to demand and pursue collection of any fees, reimbursements or other amounts that are due and owing to Bank as of the date of termination pursuant to the terms of this Agreement.
PERFORMANCE AFTER TERMINATION. Upon termination of this Agreement ----------------------------- pursuant to Section 8.3, (a) all right, title and interest to the Licensee Products, the Licensed Services and any other rights or licenses granted during the term of this Agreement shall revert back to Licensor; (b) Licensee will promptly (1) discontinue the use of, and will destroy or return to Licensor or its designee, all documents and all copies thereof relating to Licensor's proprietary and confidential information regardless of the form or medium in which such information is stored, including but not limited to, Trade Secrets and all notes, summaries and other documents or materials containing information relating to such information, and (2) refrain from any manufacture, delivery or sale involving in any manner whatsoever, directly or indirectly, use or utilization of any license or any other right granted under this Agreement.
PERFORMANCE AFTER TERMINATION. Termination of this Agreement shall not relieve either Party from completing any commitments to supply or commitments to purchase or pay for GMCL Axles and Accommodation Parts that remain in effect under any Delivery Schedule that extends beyond the effective date of termination or from discharging completely any and all other obligations under this Agreement which exist at the date of termination, subject to the other terms of the Agreement. Upon the effective date of termination of this Agreement, the Parties shall negotiate, subject to other provisions of this Section 12, an arrangement between them that will minimize losses that may be incurred by each of the Parties as a result of termination.
PERFORMANCE AFTER TERMINATION. Notwithstanding the termination of this Agreement for any reason, the parties shall be required to carry out any provisions hereof which contemplate performance by them subsequent to such termination.

Upon termination of this ----------------------------- Agreement pursuant to Section 11.3, Licensee will promptly (a) discontinue the use of, and will destroy or return to Licensor or its designee, all copies of Trade Secrets and all notes, summaries and other documents or materials containing information relating to the Trade Secrets, and (b) refrain from any manufacture, delivery or sale involving in any manner whatsoever, directly or indirectly, use or utilization of the Trade Secrets, that (i) is not contained in a printed publication bearing a date prior to the Effective Date, or (ii) has not become available to the public or generally known in the trade other than as a result of the improper action of Licensee, its agents or employees, or its former agents or employees who have knowledge thereof.
