Common use of Perfection Certificate Clause in Contracts

Perfection Certificate. The Administrative Agent shall have received a fully completed Perfection Certificate in form and substance reasonably satisfactory to the Administrative Agent, dated as of the Closing Date, duly executed and delivered by a Responsible Officer of the Borrower. All documents and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

Perfection Certificate. The Administrative Agent shall have received a fully completed Perfection Certificate perfection certificate in form and substance reasonably satisfactory to the Administrative Agent, dated as of the Closing Date, duly executed and delivered by a Responsible Officer on behalf of the Borrower. All documents and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

Perfection Certificate. The Administrative Agent shall have received a fully completed Perfection Certificate in form and substance reasonably satisfactory perfection certificate with respect to the Administrative Agent, dated as of Company and the Closing Date, duly executed and delivered other Loan Parties signed by a Responsible Officer of the Borrower. All documents Company and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

Perfection Certificate. The Administrative Agent shall have received a fully completed Perfection Certificate perfection certificate, substantially in the form of Exhibit O-1, duly authorized, executed and substance delivered by Borrower and otherwise reasonably satisfactory to the Administrative Agent, dated as of the Closing Date, duly executed and delivered by a Responsible Officer of the Borrower. All documents and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

Perfection Certificate. The Administrative Agent shall have received a fully completed Perfection Certificate perfection certificate with respect to the Credit Parties dated the Closing Date, in form and substance reasonably satisfactory to the Administrative Agent, dated as of the Closing Date, and duly executed and delivered by a Responsible Officer of the Borrower. All documents and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

Perfection Certificate. The Administrative Agent shall have received (i) all documents and instruments, including Uniform Commercial Code financing statements, required by law or reasonably requested by the Administrative Agent to be filed, registered or recorded to create or perfect the Liens intended to be created under the Guarantee and Collateral Agreement, and (ii) a fully completed Perfection Certificate in form dated the Effective Date and substance reasonably satisfactory to the Administrative Agent, dated as of the Closing Date, duly executed and delivered signed by a Responsible Officer an executive officer or financial officer of the Borrower. All documents and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

All documents and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative AgentAgent and the Lenders, shall have been executed and delivered by the requisite parties and shall be in full force and effect.

The Administrative Agent shall have received a fully completed Perfection Certificate perfection certificate from the Borrower, dated the Closing Date, with appropriate insertions and attachments, reasonably satisfactory in form and substance reasonably satisfactory to the Administrative Agent, dated as of the Closing Date, duly executed and delivered by a Responsible Officer of the Borrower. All documents Borrower and agreements required to be appended to the Perfection Certificate, shall be in form and substance reasonably satisfactory to the Administrative Agent, shall have been executed and delivered by the requisite parties and shall be in full force and effectHoldings.
