Common use of Perfected Security Interests Clause in Contracts

Perfected Security Interests. The Lien in favor of the Administrative Agent provided pursuant to Section 6.1 hereof is a valid and perfected first priority security interest in the Collateral (subject only to the Permitted Liens and the terms of the applicable Intercreditor Agreements), and all filings and other actions necessary to perfect such Lien have been or will be duly taken.

Perfected Security Interests. The Lien in favor of the Administrative Agent for the benefit of Lenders provided pursuant to Section 6.1 hereof is a valid and perfected first priority security interest in the Collateral (subject only to the Permitted Liens and the terms of the applicable Intercreditor AgreementsLiens), and all filings and other actions necessary to perfect such Lien have been or will be duly taken.

The Lien in favor of the Administrative Agent (for its benefit and the benefit of the Lenders) provided pursuant to Section 6.1 hereof is a valid and, when properly perfected by the timely filings, deliveries, notations and perfected other actions contemplated by the Financing Agreements in the appropriate jurisdictions, will constitute the first priority security interest in the Collateral (subject only to the Permitted Liens and the terms of the applicable Intercreditor AgreementsLiens), and all filings and other actions necessary to perfect such Lien have been or will be duly taken.

Perfected Security Interests. The Lien in favor of the Administrative Agent (for its benefit and the benefit of the Lenders) provided pursuant to Section 6.1 hereof is a valid and, when properly perfected by the timely filings, deliveries, notations and perfected first other actions contemplated by the Financing Agreements in the appropriate jurisdictions, will constitute the second priority security interest in the Collateral (subject only to the Permitted Liens and the terms of the applicable Intercreditor AgreementsLiens), and all filings and other actions necessary to perfect such Lien have been or will be duly taken.
