Penalty Amount. The penalty for late cancellation is 50% of the price originally quoted for the container unloading or the palletised goods inbound service. In other words, they will be charged half of the agreed-upon price for the service they canceled.

Court is Not Bound: Weatherford and this Office understand that the Agreement must be approved by the United States District Court for the Southern District of Texas, in accordance with 18 U .S.C. § 3161 (h)(2). If that Court declines to approve this Agreement for any reason, this Office and Weatherford are released from any obligation imposed upon them by this Agreement, this Agreement shall be null and void, and this Office shall not premise any prosecution of Weatherford upon any admissions or acknowledgements contained herein, including in the Factual Statement. 5.

Penalty Amount. With respect to each period (quarterly or annual, as applicable pursuant to Section 5(c) of the EPI Agreement) in which PSC's performance of the Services fails to meet or fails to exceed the standards which have been mutually established for a Performance Metric, PSC will provide to SBC a credit in an amount equal to the product of (i) the Penalty Percentage for that Performance Metric, multiplied by (ii) the Penalty Pool for that Budget Period or a quarter thereof, as applicable; provided, however, that the maximum amount of credit that PSC is obligated to provide to SBC pursuant to this Section 3 in any one Budget Period or a quarter thereof, as applicable, with respect to all Performance Metrics shall not exceed, in the aggregate, the Penalty Pool for that Budget Period or a quarter thereof, as applicable.
