Payments to Originators. With respect to each Receivable transferred to the Seller by the Originators pursuant to the Sale Agreement, the Seller has given reasonably equivalent value to each Originator in consideration for the Receivables originated by it and the Related Assets with respect thereto and such transfer was not made for or on account of antecedent debt.
