Payments of Claims. For claims brought under the Accident & Sickness Medical and Dental Expense Benefit coverage, all benefits payable under this policy will be paid immediately upon Our receipt of due written Proof of Loss. For all other claims, payment shall be made within thirty (30) calendar days after the amount of the payment is agreed to between the claimant and Us in accordance with K.S.A. 40-2,126.

Payments of Claims. (a) Servicer will receive copies of all correspondence regarding Claims from the Lockbox. Provider hereby agrees to assist Servicer in changing the remittance instructions to the Obligors on Claims to the Lockbox. All payments will be posted, and requests for additional information retrieved as mutually agreed in writing by all parties. Original documentation will be forwarded to Provider. If payments and/or correspondence are sent to Provider, Provider will ensure that all EOBs, ERAs and any correspondence relating to the Claims or Collections will be sent to Servicer for posting. All payments shall be in the name of Provider and not in the name of Servicer. Provider shall cooperate with Servicer in the identification of items received in the Lockbox and the Lockbox and amounts received in the Lockbox and the Lockbox Account.

Payments of Claims. The amount of indemnification to which an Indemnified Party will be entitled under this Article 9 will be determined: (i) by written agreement between the Indemnified Party and the Indemnifying Party; or (ii) by a final judgment or decree of any court of competent jurisdiction (for which purpose, a judgment or decree of a court will be deemed final when the time for appeal, if any, will have expired and no appeal will have been taken or when all appeals taken will have been finally determined). Any indemnification payments to the Shareholder Indemnitees pursuant to this Article 9 shall be effected by wire transfer of immediately available funds from Buyer to an account or accounts designated in writing by Parent within five (5) Business Days after the determination thereof. Any indemnification payments to the Buyer Indemnitees pursuant to this Article 9 shall be effected by wire transfer of immediately available funds and/or transfer of shares of Buyer Common Stock (which shares shall be valued at the Measurement Price) or Buyer Preferred Stock (which shares shall be valued at the Liquidation Preference).

Payments of Claims. If, as of the fifth Business Day immediately ------------------ after the first anniversary of the date hereof (i) there are no Claims which have been asserted by the Buyer, have been resolved pursuant to Section 4.d. hereof and which remain unpaid, (ii) there are no Unresolved Claims, and (iii) the Escrowed Property has not been previously delivered to Sellers pursuant to clause (iv) of Section 4.a. above, then the Sellers shall give Buyer a Notice of their desire that to the remaining Escrowed Property be paid to the Sellers.

The maximum payment each Class Member may receive is $5000.
