Payment of Related Expenses. The Company shall have paid all liabilities and obligations due and payable at the Closing of this Agreement, as applicable, including the amounts payable under (a) the Amendment to Employment Agreement by and between the Company and Xxxxxx X. Xxxxxx, Xx. dated May 28, 2004, together with the Business Consultant Agreement by and between such parties, attached hereto as Exhibit E and the Letter Agreement by and between the Company and Xxxxxx X. Xxxxxx, Xx. dated May 28, 2004 attached hereto as Exhibit F, and (b) the Amendment to Employment Agreement by and between the Company and Xxxxx X. Xxxx dated May 28, 2004, together with the Business Consultant Agreement by and between such parties, attached hereto as Exhibit G.
Payment of Related Expenses. The Member effecting a Disposition and any Person admitted to the Company in connection therewith must pay or reimburse, as the case may be, the Company for all costs and expenses incurred by the Company in connection with the Disposition or admission (including, without limitation, the legal fees incurred in connection with the legal opinions referred to in Section 9) within ten (10) days after the Person admitted receives the Company’s invoice stating the amount due. If payment is not received by the due date, the Person admitted must pay interest on the unpaid amount from the date due until paid at a rate per annum equal to the General Interest Rate. The Company shall have the right of offset any such unpaid costs and expenses against any future Distributions to such Member.

  • Payment of Extraordinary Education Related Expenses Section 5.1. PAYMENT OF EXTRAORDINARY EDUCATION-RELATED EXPENSES. In addition to the amounts determined pursuant to Articles IV and VI of this Agreement, Applicant on an annual basis shall also indemnify and reimburse District for all non-reimbursed costs, certified by the District’s external auditor to have been incurred by the District for extraordinary education-related expenses directly and solely related to the project that are not directly funded in state aid formulas, including expenses for the purchase of portable classrooms and the hiring of additional personnel to accommodate a temporary increase in student enrollment caused directly by such project. Applicant shall have the right to contest the findings of the District’s external auditor pursuant to Section 4.9 above.

  • Shared Expenses Owner acknowledges that certain economies may be achieved with respect to certain expenses to be incurred by U-Haul on behalf of Owner hereunder if materials, supplies, insurance or services are purchased by U-Haul in quantity for use not only in connection with the Property but in connection with other properties owned or managed by U-Haul or its affiliates. U-Haul shall have the right to purchase such materials, supplies, insurance and/or services in its own name and charge Owner a pro rata allocable share of the cost of the foregoing; provided, however, that the pro rata cost of such purchase to Owner shall not result in expenses greater than would otherwise be incurred at competitive prices and terms available in the area where the Property is located; and provided further, U-Haul shall give Owner access to records so Owner may review any such expenses incurred.

  • Treatment of Unallowable Costs Previously Submitted for Payment The Debtors further agree that within 90 days of the Effective Date of this Agreement they shall identify to applicable Medicare and TRICARE fiscal intermediaries, carriers, and/or contractors, and Medicaid and FEHBP fiscal agents, any Unallowable Costs (as defined in this Paragraph) included in payments previously sought from the United States, or any State Medicaid program, including, but not limited to, payments sought in any cost reports, cost statements, information reports, or payment requests already submitted by the Debtors or any of their current subsidiaries or affiliates, and shall request, and agree, that such cost reports, cost statements, information reports, or payment requests, even if already settled, be adjusted to account for the effect of the inclusion of the Unallowable Costs. The Debtors agree that the United States, at a minimum, shall be entitled to recoup from the Debtors any overpayment plus applicable interest and penalties as a result of the inclusion of such Unallowable Costs on previously-submitted cost reports, information reports, cost statements, or requests for payment. Any payments due after the adjustments have been made shall be paid to the United States pursuant to the direction of the Department of Justice and/or the affected agencies. The United States reserves its rights to disagree with any calculations submitted by the Debtors or any of their current subsidiaries or affiliates on the effect of inclusion of Unallowable Costs (as defined in this Paragraph) on the Debtors or any of their current subsidiaries or affiliates’ cost reports, cost statements, or information reports.

  • Compensation; Payment of Fees and Expenses As compensation for the performance of the Administrator’s obligations under this Agreement, the Administrator shall be entitled to receive $2,500 annually, which shall be solely an obligation of the Servicer; provided, however, notwithstanding the foregoing, such compensation shall in no event exceed the Servicing Fee for the related annual period. The Administrator shall pay all expenses incurred by it in connection with its activities hereunder.

The Parties thereafter reached an accord on the compensation due to XxXxx and his counsel under general contract principles and the private attorney general doctrine and principles codified at California Code of Civil Procedure § 1021.5, for all work performed through the mutual execution of this agreement. Under these legal principles, OAM shall reimburse XxXxx’x counsel for fees and costs incurred as a result of investigating and bringing this matter to OAM’s attention, and negotiating a settlement in the public interest. Within ten (10) days of the Effective Date, OAM shall issue a check payable to “Xxxxxxx & Xxxxx” in the amount of $4,500.00 for delivery to the address identified in § 3.2(a)(i), above.
