Common use of Payment of Consideration Clause in Contracts

Payment of Consideration. (1) Prior to the filing of the Articles of Arrangement, Purchaser shall deposit, or arrange to be deposited, for the benefit of holders of Shares (other than the Dissenting Holders), cash with the Depositary and CVRs with the Rights Agent as are required by this Plan of Arrangement, with the amount per Share in respect of which Dissent Rights have been exercised being deemed to be the Consideration per Share for this purpose.

Payment of Consideration. (1) Prior to the filing of the Articles of Arrangement, the Purchaser shall deposit, or arrange to be deposited, for the benefit of holders of Shares (other than the Dissenting Holders)Shareholders, cash with the Depositary and CVRs with in the Rights Agent aggregate amount as are is required by this Plan of Arrangement, with the amount per Share in respect of which Dissent Rights have been exercised being deemed to be the Consideration per Share for this purpose, net of any applicable withholdings for the benefit of the Shareholders.

(1a) Prior to the filing of the Articles of Arrangement, the Purchaser shall deposit, or arrange cause to be depositeddeposited (including by directing the Company to deliver the Loan Amount to the Depositary), for the benefit of holders of Shares (other than the Dissenting Holders)Shareholders, cash with the Depositary and CVRs with in the Rights Agent as are aggregate amount equal to the payments in respect of the Shares required by Section 2.3(h) of this Plan of Arrangement, with the amount per Share in respect of which Dissent Rights have been exercised being deemed to be the Consideration per Share for this purpose.

(1) Prior Following receipt of the Final Order and prior to the filing Effective Date, in accordance with Section 2.9 of the Articles of ArrangementArrangement Agreement, the Purchaser shall deposit, or arrange shall cause to be deposited, for the benefit of holders of Shares (other than the Dissenting Holders)Shareholders, cash with the Depositary and CVRs with in the Rights Agent as are aggregate amount equal to the payments in respect of the Shares required by this Plan of Arrangement, with the amount per Share in respect of which Dissent Rights have been exercised being deemed to be the Consideration per Share for this purpose.

(1) Prior to the filing of the Articles of Arrangement, the Purchaser shall deposit, or arrange to be deposited, with the Depositary, for the benefit of applicable holders of Company Common Shares, share certificates or other entitlements to the aggregate number of Consideration Shares (other than the Dissenting Holders), cash with the Depositary and CVRs with the Rights Agent as are required by this Plan of Arrangement, with the amount per Share in respect of which Dissent Rights have been exercised being deemed payable to be the Consideration per Share for this purposeCompany Shareholders under Section 2.3.

Payment of Consideration. (1) Prior to the filing of the Articles of Arrangement, Purchaser shall deposit, or arrange to be deposited, deposited for the benefit of holders of Shares Shareholders (other than the Dissenting Holders), cash with ) sufficient funds to satisfy the Depositary and CVRs with the Rights Agent Aggregate Arrangement Consideration payable to Shareholders as are required by this Plan of Arrangement, with which funds shall be held by the amount per Share Depositary in respect of which Dissent Rights have been exercised being deemed to be the Consideration per Share escrow as agent and nominee for this purposesuch Shareholders.
