Payment Card Industry Data Security Standards. (“PCI-DSS”). If during the course of normal business operations the Subrecipient accepts electronic payments by payment card, including but not limited to debit cards and/or credit cards branded by VISA, MasterCard, Discover and/or American Express, then the Subrecipient shall at all times be responsible for and required to:
Payment Card Industry Data Security Standards. The Company and its Subsidiaries have designed and implemented an information security program that is designed to protect accountholder data in accordance with the Payment Card Industry Data Security Standards (“PCI/DSS Requirements”). At all times during the term of this Agreement, the Company and its Subsidiaries shall be in compliance with the PCI/DSS Requirements as required herein. Any certificate signed by any officer of the Company and delivered to the Representative or to counsel for the Representative in connection with the transactions contemplated hereby shall be deemed a representation and warranty by the Company to each of the several Underwriters as to the matters covered thereby. The Company acknowledges that the Underwriters and, for purposes of the opinions to be delivered pursuant to Section 6 hereof, counsel to the Company and counsel to the Representative, will rely upon the accuracy and truthfulness of the foregoing representations and hereby consents to such reliance.
Payment Card Industry Data Security Standards. Contractor represents and warrants that should the Payment Card Industry Data Security Standards (“PCI-DSS”) apply to any goods or services provided pursuant to this Agreement, Contractor shall maintain payment card information and process payment card transactions in compliance with the standards of the PCI Security Standards Council (xxxxx://xxx.xxxxxxxxxxxxxxxxxxxx.xxx/xxxxx.xxxxx). If applicable, Contractor shall provide Alamo Colleges District a current certificate of PCI compliance upon award and annually thereafter for the duration of this Agreement. Contractor agrees to indemnify and hold harmless Alamo Colleges District, its Board of Trustees, officers, employees, agents, contractors and assigns (collectively, “Protected Parties”) from and against any and all complaints, claims, causes of action, liabilities, suits, damages, judgments, penalties, fines, assessments, settlements, losses and expenses (including legal fees, expert witness fees and other legal expenses and court costs) imposed upon, incurred by, or asserted against Protected Parties resulting from or related to any loss of Alamo Colleges District customer credit card or identity information managed, retained or maintained by Contractor, including, without limitation, fraudulent or unapproved use of such card or identity information. Contractor agrees to notify Alamo Colleges District of any security breach involving the aforementioned data within one business day after discovery.
Payment Card Industry Data Security Standards. If the Agency accepts or maintains account information, the Agency acknowledges that they are responsible for securing cardholder data pursuant to the Payment Card Industry Data Security Standards. “Account Information” and “Cardholder Data” refer to any information contained on a credit or debit card containing a logo owned by MasterCard, Visa, American Express, or Discover. BCBST may, in its sole discretion, conduct an audit of Agency, within normal business hours and upon forty-eight (48) hours notice, to verify Agency’s compliance with this provision.
Payment Card Industry Data Security Standards. If Seller will be providing credit card processing services for or on behalf of Xxxxx, Xxxxxx agrees to be bound by the provisions of Attachment B attached hereto and incorporated herein as if set forth fully herein.
Payment Card Industry Data Security Standards. The Authority utilizes systems and networks that store, process, and/or transmit cardholder data as defined by the Payment Card Industry (“PCI”) Security Standards Council (“Cardholder Data”). As such, these systems, networks, and procedures are required to comply with the PCI Data Security Standard (“PCI DSS”). The Contractor shall comply with the PCI DSS requirements for such systems and acknowledges that the Contractor is responsible for the security of cardholder data handled by the Contractor. The Authority and the Contractor shall meet to identify the specific systems and networks that store, process and/or transmit cardholder data to determine the desired actions and identify responsibilities as applicable to the PCI DSS requirement areas.
Payment Card Industry Data Security Standards. Bank shall at all times comply with the Payment Card Industry Data Security Standards, as they may be amended or revised, during the Term of this Agreement.
Payment Card Industry Data Security Standards. CDCR requires that the Contractor shall at all times maintain compliance with the most current PCI DSS. Contractor shall be required to:
Payment Card Industry Data Security Standards. If, in the course of its engagement by University, Contractor has access to or will collect, access, use, store, process, dispose of or disclose credit, debit or other payment cardholder information, Contractor shall at all times remain in compliance with the Payment Card Industry Data Security Standard (“PCI DSS”) and if applicable, Payment Application Data Security Standard (PA DSS) requirements, including remaining aware at all times of changes to these standards and promptly implementing all procedures and practices as may be necessary to remain in compliance with these standards, including promptly notifying the University of its non-compliance, in each case, at Contractor’s sole cost and expense. Both parties are responsible for the security of the cardholder data that is in such party’s control or possession, as mandated by PCI Security Standards Council (PCI SSC) in the performance of their individual and mutual responsibilities under this Agreement.
Payment Card Industry Data Security Standards. (1) Contractor shall be the merchant of record for purposes of credit card acceptance, and shall be responsible for the security of cardholder data that it possesses, including the functions relating to storing, processing, and transmitting of the cardholder data. Contractor will notify Client within twenty-four (24) hours if it has knowledge of, or can reasonably expect that, a security breach has occurred. Contractor takes responsibility for and shall indemnify, defend, and hold the Client harmless from the payment of fines, penalties, lawsuits and other costs incurred that result from a breach traced to the action or inaction of the Contractor and will assume 100% of those costs regardless of any contributory negligence on the part of Client, merchant acquirer, merchant bank, or other negligent third party.
