Party B shall Clause Samples
Party B shall. (a) use the ▇▇▇▇▇▇▇▇▇ Institute trademark, including the name and the logo, in a legal and compliant manner, and maintain its brand reputation;
(b) jointly formulate the development plan and raise funds for the ▇▇▇▇▇▇▇▇▇ Institute with Party C;
(c) pay the salary of the Chinese Director during his/her term of service;
(d) jointly provide and train teaching and administrative staff with Party C;
(e) provide annual funds to the ▇▇▇▇▇▇▇▇▇ Institute;
(f) receive the China-bound delegations from the ▇▇▇▇▇▇▇▇▇ Institute;
(g) assist students of the ▇▇▇▇▇▇▇▇▇ Institute in applying for scholarships for study in China; and
(h) provide teaching resources and other support for the ▇▇▇▇▇▇▇▇▇ Institute.
Party B shall introduce the potential M&A targets, assist Party A in completing the relevant due diligence, and propose the M&A scheme.
Party B shall. (a) within 180 days after the end of each of its financial years, deliver to Party A one set of its audited financial statements for such financial year;
(b) within 30 days after the end of each quarter (being the end of each of Party B's fiscal quarters) in each of its financial years, deliver to Party A one set of its unaudited financial statements for such period;
(c) provide to Party A such information about Party B's financial condition as Party A may reasonably require; and
(d) ensure that each set of financial statements delivered by it pursuant to sub-clauses (a) and (b) above is prepared in accordance with GAAP and consistently applied.
Party B shall. 2.1. not resell the Provided Services to users, businesses or other entities which are not roaming Customers.
