Partnership Securities. The General Partner is hereby authorized to cause the Partnership to issue Partnership Securities, for any Partnership purpose, at any time or from time to time, to the Partners or to other Persons for such consideration and on such terms and conditions as shall be established by the General Partner in its sole discretion, all without the approval of any Limited Partners. The General Partner shall have sole discretion, subject to the requirements of the Act, in determining the consideration and terms and conditions with respect to any future issuance of Partnership Securities. 9.5.1 The General Partner shall do all things necessary to comply with the Act and is authorized and directed to do all things it deems to be necessary or advisable in connection with any future issuance of Partnership Securities, including, without limitation, compliance with any statute, rule, regulation or guideline of any federal, state or other governmental agency or any national securities exchange on which the Units or other Partnership Securities are listed for trading.
Partnership Securities. Seller holds of record and owns beneficially the Partnership Securities, which as of the Closing shall be free and clear of any Liens. Seller is not a party to, and the Partnership Securities is not subject to, any option, warrant, purchase right or other Contract that could require Seller to sell, transfer, or otherwise dispose of any portion of its Partnership Securities (other than this Agreement). Seller is not a party to any voting trust, proxy or other Contract with respect to the voting of any Partnership Securities.
