Common use of Participation Interests Clause in Contracts

Participation Interests. 1.1 Each of the Sellers and each of Mxxxxx Xxxxxx and Axxx Tumenaite is the registered legal owner of the participation interest set opposite his or her name in Schedule 2 and is beneficially entitled to effect or procure the sale and transfer of such participation interest, and such participation interest shall be fully paid in and free from all Encumbrances (other than those expressly provided for in this Agreement, the organisational documents of the Company and/or those that arise by application of Applicable Law).
