Partial Termination by Fidelity. 4.5.1 Fidelity may, at any time, withdraw any of the Electronic ▇▇▇▇ Payment Services upon not less than one hundred sixty-five (165) Days’ prior written notice to Customer. 4.5.2 Fidelity may also terminate any function or any Electronic ▇▇▇▇ Payment Services immediately upon any final regulatory, legislative, or judicial determination that providing such function or portion of the Electronic ▇▇▇▇ Payment Services is inconsistent with applicable law or regulation or the rights of any third party. Fidelity shall notify Customer as soon as possible upon learning that such action may be required. 4.5.3 If Fidelity withdraws or terminates any function or any Electronic ▇▇▇▇ Payment Services in accordance with Sections 4.5.1 or 4.5.2 above, Fidelity will use commercially reasonable effort to provide Customer with a substantially similar function or Electronic ▇▇▇▇ Payment Service prior to such withdrawal or termination.
