Ownership of Other Entities. Other than the subsidiaries of the Company listed in Exhibit 21 to the Company’s Annual Report on Form 10-K for the fiscal year ended December 31, 2018, the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity.

Other than the subsidiaries of the Company listed in Exhibit 21 to the Company’s Transition Report on Form 10-K for the transition period from January 1, 2015 to January 31, 2015, the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity.

As used in this Agreement with respect to the Company, “subsidiaries” shall mean direct and indirect subsidiaries of the Company and the Subsidiary.
Ownership of Other Entities. Other than the subsidiaries of the Company listed in Exhibit 21 to the Registration Statement, the Company, directly or indirectly, owns no capital stock or other equity or ownership or proprietary interest in any corporation, partnership, association, trust or other entity, except for subsidiaries of the Company that considered in the aggregate as a single subsidiary, could not constitute a significant subsidiary of the Company as such term is defined in Rule 1-02(w) of Regulation S-X.
