OWNERSHIP AND MAINTENANCE OF THE EQUIPMENT. 5.1 Each Local Authority owns the Equipment within their own administrative areas. 5.2 The Local Authorities agree to allow WMP to access and use such Equipment as is required to fulfil their obligations under this Agreement. 5.3 The Local Authorities are either directly party to, or have entered into on behalf of another Local Authority, a Maintenance Contract (or equivalent arrangement) with a third-party supplier for the maintenance of the On-street Enforcement Equipment and Back-Office Equipment use under this Agreement. 5.4 The Local Authorities acknowledge their statutory obligations under the Road Traffic Act 1988 and their obligations under this Agreement to cooperate with WMP to reduce road traffic offences and serious collisions in their administrative area and commit to ensuring that whilst this Agreement is in force, that they shall maintain all Equipment at their own cost, be that under the existing Maintenance Contract or any future contract for maintenance (or equivalent arrangement). 5.5 In the event that the Local Authorities have cause or grounds to lawfully terminate the Maintenance Contract, or the Maintenance Contract expires, they will notify WMP in writing prior to any such termination explaining the reasons for such termination and confirming what arrangements are to be put in place for future maintenance. 5.6 WMP own and maintain the WMP Back-Office System at their own cost and operate it from WMP Back-Office where WMP Staff process the Activations as part of the enforcement process. 5.7 WMP have agreed to make an annual Maintenance Contribution towards each Local Authority’s Maintenance costs. The total Maintenance Contribution shall take the form of the sum of £300,000 which shall act as a contribution towards all of the Local Authorities combined Maintenance Costs. 5.8 The Maintenance Contribution will be shared on a pro-rata basis so that each Local Authority (who is a signatory to this Agreement) receives a pro-rata amount of the Maintenance Contribution based on their proportion of regional KSIs. The Maintenance Contribution shall be distributed in accordance with the proportions contained in Schedule 2. 5.9 Subject to clause 5.10, the Maintenance Contribution shall also be payable for the financial year 2025/2026 and 2026/2027 (on the same basis as above) in the distribution described in Schedule 2. 5.10 The Maintenance Contribution is payable quarterly from WMP to each Local Authority, upon receipt of an invoice quoting the...
