Ownership and Maintenance. Consistent with the Grandfathered IA, Con Edison shall own all facilities at the Jamaica Substation excluding the Interconnection Cable and 138-kV potheads. Con Edison shall operate and maintain all facilities at the Jamaica Substation, including the Interconnection Cable from the potheads at the Substation into the first manhole outside the Jamaica Substation. KIAC shall, during the term of this Agreement, reimburse Con Edison for the operation and maintenance expenses, including property taxes, for these facilities at the annual rate specified in Con Edison's PSC tariff for the purchase of electricity from on- site generators as such tariff may be amended, modified, or superseded from time-to- time. The annual amount due to Con Edison shall be determined by multiplying the applicable rate by the total capital costs of these facilities. Consistent with the Grandfathered IA, The Port Authority shall own the Interconnection Cable, from the potheads at the Jamaica Substation to the potheads at the Plant, and shall permit use of the Interconnection Cable by KIAC by separate agreement between the Port Authority and KIAC. KIAC, at its expense, shall be responsible for the operation and maintenance of the Interconnection Cable from the first manhole outside the Jamaica Substation to the Plant.
Ownership and Maintenance. A. Upon completion of all work under this Agreement, ownership and title to all materials, equipment and appurtenances installed as a part of the PROJECT within the Town limits of Los Gatos will automatically be vested in TOWN, and all materials, equipment and appurtenances installed as a part of the PROJECT within the CITY limits will be vested in CITY, and no further agreement will be necessary to transfer ownership.

Ownership and Maintenance. All such Privately Financed Public Improvements shall become the unencumbered assets of DISTRICT immediately upon completion or installation of each Privately Financed Public Improvement and shall be maintained by DISTRICT to the same standard as the Public Improvements until such time that DISTRICT is annexed by CITY.

The Company owns, or possesses licenses or other valid rights to use, all Company Intellectual Property which is required or necessary to the conduct of the business of the Company, except where the lack thereof, individually or in the aggregate, would not have a Material Adverse Effect on the Company. To the Knowledge of the Company, no Person is infringing upon or violating any material Company Intellectual Property. The Company has taken reasonable steps to maintain the confidentiality of its trade secrets.
Ownership and Maintenance. The City will own all Project improvements and will be responsible for the reasonable maintenance of the improvements. As part of this agreement, the Port will grant the City any easements to Port property that are necessary to facilitate the installation and maintenance of any improvement to be installed under the scope of the Project. The grant of these easements to the City will be in effect as long as the Project exists on Port property. If the Project is removed, the easements will be revert to the Port. The granting of any easements from the Port to the City is contingent upon the approval of the Port Commission.

Pursuant to Condition of Approval No. 22 of the MPD Permit Approval, all street right‐of‐way will be dedicated to, owned and maintained by the City except for private streets which include, alleys, autocourts serving less than 20 Dwelling Units and Main Street. Maintenance of landscape tracts and planting strips associated with streets within the MPD will be provided by the Homeowners’ Association or subset thereof pursuant to the provisions of Subsection 5.5.7 of this Agreement. Provided, however, requirements of this Subsection may be superseded by Subsection 13.6 of this Agreement.
