Owner Agreement. Manager is a party with Owner to an Owner Agreement, a copy of which is attached hereto as Exhibit D (the "Owner Agreement"). In the event that Westboy or any successor thereto ever becomes a fee owner of a Hotel, or if, pursuant to the Owner Agreement, this form of Management Agreement is used as the basis of an agreement to manage any of the Hotels between Manager and any other owner of the fee interest in such Hotels, then Westboy, such successor, or such fee owner, as the case may be, agrees to recognize and be bound by the rights of Manager under the Owner Agreement contained in Section 16 thereof.

Owner Agreement. The Owner is providing the premises identified in the Occupancy Agreement to the Occupant(s) with assistance for the occupancy under the Transitional Housing Program administered by the Vermont Department for Children and Families (DCF). By signing below, the Owner agrees to: − Accept payment directly from DCF on behalf of the Occupant(s); − return or retain the security deposit in accordance with Transitional Housing Program Emergency Rule TH-110; and − return to DCF any payments as required by Transitional Housing Program Emergency Rule TH-120. Each Owner as of the Effective Date shall deliver to the Company a written acknowledgement, in the form attached as Exhibit B (the “Owner Agreement”), of (i) his or her obligation not to compete with the Company as set forth in Section 10.12, and (ii) his or her obligation to sell his entire ownership interest in the Physician Entity upon the occurrence of a Termination Event for which such Owner is the Responsible Owner.
