For Approved Devices with respect to which Licensee exercises sole control over design and manufacturing, if any, such devices shall limit analog outputs to a maximum resolution of 1080i and shall not permit analog outputs at a resolution of 1080p or greater.\n2.2. The Content Protection System shall enable Macrovision content protection technology, when available, or, at Licensee\u2019s election and subject to Licensor\u2019s approval (not to be unreasonably withheld), other equivalent copy protection in accordance with industry standards on all analog outputs from end user devices. As between Licensor and Licensee, Licensee shall pay all royalties and other fees payable in connection with the implementation and/or activation of such content protection technology allocable to Included Programs provided pursuant to the Agreement. Nothing herein shall prevent Licensee from disabling analog TV outputs.\n2.3. The Content Protection System shall enable CGMS-A content protection technology, when available, on all analog outputs from end user devices on all devices. As between Licensor and Licensee, Licensee shall pay all royalties and other fees payable in connection with the implementation and/or activation of such content protection technology allocable to Included Programs provided pursuant to the Agreement.\n2.4. The Content Protection System shall prohibit digital output of unprotected, unencrypted Included Programs. Notwithstanding the foregoing, the Content Protection System may allow a digital signal to be output if it is protected and encrypted by High Definition Copy Protection (\u201cHDCP\u201d) or Digital Transmission Copy Protection (\u201cDTCP\u201d). Further, the Content Protection System may implement (i) Digital Video Interface version 1.0 (\u201cDVI\u201d) without HDCP and allow standard definition or scaled standard definition output on such interface on personal computer platforms in accordance with the allowances for DVI outputs through the DVD-CCA and/or (ii) an exception for unprotected analog and digital outputs to allow standard definition or scaled standard definition output on such interface on personal computer platforms in accordance with the allowances for analog and digital outputs through the DVD-CCA; provided, however, that in the event that the DVD-CCA authorizes an exception to current or future DVD-CCA allowances for any such output for personal computer manufacturers, Licensor acknowledges and agrees that Licensee shall be entitled to the benefit of such exception. Defined terms used but not otherwise defined in this Section 2.4 shall have the meanings given them in the DTCP or HDCP license agreements, as applicable.\n2.4.1. A set-top box that outputs decrypted Included Programs provided pursuant to the Agreement using DTCP shall:\n2.4.1.1. Deliver system renewability messages to the source function;\n2.4.1.2. Map the copy control information associated with the program; the copy control information shall be set to \u201ccopy never\u201d in the corresponding encryption mode indicator and copy control information field of the descriptor;\n2.4.1.3. Map the analog protection system (\u201cAPS\u201d) bits associated with the program to the APS field of the descriptor;\n2.4.1.4. Set the image_constraint_token field of the descriptor as authorized by the corresponding license administrator;\n2.4.1.5. Set the eligible non-conditional access delivery field of the descriptor as authorized by the corresponding license administrator;\n2.4.1.6. Set the retention state field of the descriptor as authorized by the corresponding license administrator;\n2.4.1.7. Deliver system renewability messages from time to time obtained from the corresponding license administrator in a protected manner; and\n2.4.1.8. Perform such additional functions as may be required by Licensor to effectuate the appropriate content protection functions of these protected digital outputs.\n2.4.2. A set-top box that outputs decrypted Included Programs provided pursuant to the Agreement using HDCP shall:\n2.4.2.1. If requested by Licensor, deliver a file associated with the Included Programs named \u201cHDCP.SRM\u201d and, if present, pass such file to the HDCP source function in the set-top box as a System Renewability Message; and\n2.4.2.2. Verify that the HDCP Source Function is fully engaged and able to deliver the Included Programs in a protected form, which means:\n2.4.2.2.1. HDCP encryption is operational on such output,\n2.4.2.2.2. Processing of the System Renewability Message associated with the Included Programs, if any, has occurred as defined in the HDCP Specification, and\n2.4.2.2.3. There is no HDCP Display Device or Repeater on such output whose Key Selection Vector is in such System Renewability Message.\n2.5. In the event that Licensor provides to any entity to whom it licenses in the Territory, feature films with similar or earlier windows as the Included Programs licensed to Licensee hereunder an exception or allowance to any digital output requirement set forth herein, and such entity's content protection system, delivery mechanism and usage model are comparable to Licensee's, as reasonably determined by Licensor, Licensor will discuss in good faith with Licensee whether such an allowance would apply to Licensee hereunder.\n2.6. The Content Protection System shall prohibit recording, transfer or copying of protected Included Programs onto recordable or removable media except as explicitly provided for in the Usage Rules.\n2.7. The Content Protection System shall prohibit recording, transfer or copying of Included Programs onto external devices (for example Portable Media Players) except as explicitly provided for in the usage rules or the definition of Approved Device.\n2.8. For Approved Devices with high definition output capability, standard definition Included Programs, which will be delivered to the device at a pixel resolution no greater than 720x480 (NTSC) or 720x576 (PAL), the device may up-scale such Included Programs to high definition resolutions while maintaining all relevant output protections.\n2.9. Part 3 \u2014 roles and responsibilities of each party To realise the objectives and commitments in this Agreement, each Party has specific roles and responsibilities, as outlined below. Role of the Commonwealth The Commonwealth agrees to be accountable for the following roles and responsibilities: assessing and determining which Projects are to be funded under this Agreement, in consultation with the States and in accordance with the NLT Act (and other relevant legislation) and the associated Notes on Administration; providing a financial contribution to the States for the Projects set out in the Schedules; coordinating the development and revision of the Schedules in partnership with the States; monitoring and assessing performance in the delivery of Projects under this Agreement to ensure that outputs are delivered and outcomes are achieved within the agreed timeframe; assessing and approving targets for Indigenous Participation Plans submitted by the States, in accordance with the Notes on Administration and the Indigenous Employment and Supplier-use Infrastructure Framework, with relevant Commonwealth agencies to deliver appropriate supply-side supports consistent with their portfolio responsibilities; in accordance with the Building and Construction Industry (Improving Productivity) \u2587\u2587\u2587 \u2587\u2587\u2587\u2587, ensuring that financial contributions to a building project or projects as defined under the Building and Construction Industry (Improving Productivity) \u2587\u2587\u2587 \u2587\u2587\u2587\u2587, are only made where a builder or builders accredited under the Australian Government Building and Construction Work Health and Safety Accreditation Scheme, where applicable, is contracted; in accordance with the Building and Construction Industry (Improving Productivity) \u2587\u2587\u2587 \u2587\u2587\u2587\u2587, ensuring that compliance with the Building Code 2016, as amended from time to time where applicable, is a condition of Commonwealth funding for Project delivery; in line with the requirements of Schedule E, Clause 26 of the IGA FFR, recognising the State\u2019s funding contribution to projects in all publications, promotional and advertising materials, and public announcements and activities in relation to a Project as appropriate, and consulting the State prior to release of all promotional materials concerning Projects funded through this Agreement; and to consult with the States on a case-by-case basis on updating or otherwise amending the Notes on Administration to this Agreement, and seek States\u2019 agreement where change is proposed. Role of the States and Territories The States agree to be accountable for the following roles and responsibilities: providing a financial or in-kind contribution, where agreed, to Projects set out in the Schedules, to support the implementation of this Agreement; providing Project Proposal Reports, accompanying Indigenous Participation Plans and project data, such as modelling outputs and expected project benefits, consistent with the guidance and templates in the Notes on Administration, and providing additional information requested by the Commonwealth to support its roles and responsibilities; delivering the infrastructure Projects set out in the Schedules to support the implementation of this Agreement; ensuring procurement practices deliver value for money for public funds and support the longer term capacity and diversity of the construction market, in accordance with principles agreed through the Transport and Infrastructure Council; maintaining the roads on the National Land Transport Network to the appropriate standard based on their classification, as set out in the Notes on Administration; monitoring and assessing performance in the delivery of Projects under this Agreement, including providing relevant information on development and progress of a funded Project on request to assist the Commonwealth with performing its roles and responsibilities; reporting on the delivery of outcomes and outputs as set out in Part 4 \u2013 Performance Monitoring and Reporting; ensuring that only a builder or builders accredited under the Australian Government Building and Construction Work Health and Safety Accreditation Scheme, where applicable, is contracted, and providing the necessary assurances to the Commonwealth; ensuring that compliance with the Building Code 2016, as amended from time to time, where applicable, is made a condition of tender for all contractors and subcontractors who tender for the work, and providing the necessary assurances to the Commonwealth; implementing Indigenous participation requirements for Projects in accordance with the Indigenous Employment and Supplier-use Infrastructure Framework, including developing and delivering Indigenous Participation Plans for Projects above the financial threshold set out in the Notes on Administration, determining targets for Indigenous employment and supplier-use to be agreed by the Commonwealth, and reporting against performance; providing to the Commonwealth cost estimates for all Projects with a total anticipated Outturn cost (including contingency) exceeding $25 million that, unless otherwise approved by the Commonwealth, have been developed using appropriate probabilistic cost estimation techniques (as defined in the Notes on Administration) to generate P502 and P90 Outturn costs for projects and providing access to underpinning data; providing Infrastructure Australia with business cases and relevant supporting information and documentation for assessment for Projects where a State is seeking a Commonwealth funding contribution for a Project equal to or greater than the threshold as set out in the Notes on Administration; and providing the State\u2019s consideration, in relevant Project documents, of opportunities for private sector financial participation, and public private partnership (PPP) procurement options, for Projects set out in the Schedules to this Agreement where: the Project\u2019s size and nature is conducive to financing opportunities; and for PPPs, the estimated capital cost of a Project is greater than or equal to the threshold set out in the Notes on Administration. The States further agree that in line with the requirements of Schedule E, Clause 26 of the IGA FFR, they will: recognise the Commonwealth\u2019s funding contribution to Projects in all publications, promotional and advertising materials, including Project signage, and public announcements and activities in relation to a Project as appropriate, and must consult the Commonwealth prior to release of all promotional-related materials concerning projects funded through this Agreement; provide reasonable opportunity for the Commonwealth to contribute to developing communications strategies for Projects with a Commonwealth funding contribution; provide the Commonwealth with equal access to products that they obtain for use in the development of promotional material including but not limited to Project data, footage and images; and where the Commonwealth is a majority funder of a Project, promotional material and public recognition should provide major prominence to the Commonwealth\u2019s contribution, with the Parties to agree the content and timing. Notwithstanding asset ownership, the States acknowledge that the Commonwealth may participate in Project planning, delivery and review including through participation in Project steering groups and decision-making bodies, with due consideration to each Parties\u2019 financial contribution, and access to data to ensure its policy objectives and accountability responsibilities are satisfied.
