Outplacement Counseling. For the two-year period following the Termination Date (or, if earlier, the date Executive first obtains full- time employment after the Termination Date), the Company shall reimburse all reasonable expenses incurred by Executive for professional outplacement services by qualified consultants selected by Executive, in an amount not to exceed 20% of the Executive's Base Salary in effect on the date of the Change of Control or the Termination Date, whichever is higher.
Outplacement Counseling. The Company shall provide the Employee with reasonable executive outplacement services, in accordance with Company policies for senior executives as in effect on the Termination Date.
Outplacement Counseling. Outplacement services will be provided consistent with Polaroid's outplacement practices in effect prior to the Change in Control.
Outplacement Counseling. The Company shall reimburse all reasonable expenses incurred by the Executive for professional outplacement services by qualified consultants selected by the Executive for a period of 12 months following a Change of Control.

For the three year period following the ----------------------- Termination Date, the Company shall reimburse all reasonable expenses incurred by Executive (up to 20% of Base Salary per year) for professional outplacement services by qualified consultants selected by Executive.
Outplacement Counseling. During the Severance Period, the Executive will be provided with outplacement counseling services at Company expense; provided, however, the expense for such services in any calendar year shall not exceed eighteen percent (18%) of the Severance Amount paid to the Executive for such calendar year. This counseling shall include, but not be limited to, skill assessment, job market analysis, resume preparation, interviewing skills, job search techniques and negotiating.

If the Executive incurs a Qualifying Termination, the Company shall make available to the Executive, at the Company's expense, outplacement counseling that is at least equivalent to the outplacement counseling that the Company provided to its terminated senior executives during the most recent year that ended before the Change in Control occurred and during which the Company provided outplacement counseling to its terminated senior executives. Subject to the foregoing, the Executive may select the organization that will provide the outplacement counseling; provided, that this sentence shall not require the Company to provide the Executive with outplacement counseling that is more costly to the Company than the outplacement counseling that this Section 2.3 otherwise requires the Company to provide to the Executive.

Outplacement Counseling. If any of the events specified in Sections 3(a)(1)-(3) occur, the Company shall reimburse all reasonable expenses incurred by the Executive for professional outplacement services by qualified consultants selected by the Executive.

If any of the events specified in Sections 3(a)(1) or (2) occur and Executive is entitled to Severance Compensation, the Company shall reimburse all reasonable expenses incurred by the Executive over the one year period following the Termination Date for professional outplacement services by qualified consultants selected by the Executive, in an amount not to exceed $50,000.
