Other than Death or Disability. The Company or Holdco may terminate the Executive’s employment at any time during the Employment Period at any time with or without Cause upon notice to the Executive.

If the Executive's employment shall be terminated by either party for any reason other than the Executive's Death or Disability, the Corporation shall pay the Executive his Base Salary through the date of termination at the rate in effect at the time Notice of Termination is given and shall have no further obligations to the Executive under this Agreement, except as may be applicable under Section 5(d) hereof.
