Other Tax Refunds. For the avoidance of doubt, notwithstanding anything to the contrary in this Agreement, neither Marine nor any of its Subsidiaries or Affiliates shall have any right or entitlement to any Tax refund received by Holdings or any of its Subsidiaries or Affiliates which is not a Marine Tax Refund.

Other Tax Refunds. In addition to any refunds received pursuant to Section 6.5(d), Section 6.5(e) and/or Section 6.5(f) Buyer shall also pay to the Sellers’ Representative (on behalf of the Equity Holders) any other refunds of Taxes of the Company or the Company Subsidiaries that relate to Pre-Closing Tax Periods, other than any refunds that are attributable to any carryback of net operating losses, capital losses or other Tax attributes (in each case, to the extent not attributable to the Transaction Deductions) attributable to a Tax period or portion thereof beginning after the Closing Date. For the avoidance of doubt, nothing contained herein shall be construed to provide the Equity Holders any benefit arising from any net operating loss for a Pre-Closing Tax Period or a period commencing after the Closing Date other than directly attributable to the Transaction Deductions. At the expense of the Equity Holders, Buyer shall use commercially reasonable efforts to pursue any claims for refund of the Company pending as of the Closing Date. Buyer shall make payment of any such refund described in this Section 6.5(g) to the Sellers’ Representative within five (5) Business Days of receipt of the refund.
Other Tax Refunds. Buyer shall pay to Sellers any refunds of Taxes of the Company or any Company Subsidiary that relate to a Pre-Closing Tax Period, other than any refunds that are attributable to a carryback of net operating losses, capital losses or other Tax attributes attributable to a Tax period or portion thereof beginning after the Closing Date. Buyer shall use commercially reasonable efforts to pursue any claims for such refunds of the Company or any Company Subsidiary pending as of the Closing Date. Buyer shall make payment of any such refunds described in this Section 6.4(b), net of any reasonable costs incurred by Buyer, the Company or any Company Subsidiary in obtaining such refunds, to Sellers within five (5) Business Days of receipt of the refund. If, in lieu of receiving any such refund, the Company or any Company Subsidiary reduces a Tax liability with respect to a Tax period or portion thereof beginning after the Closing Date or increases a Tax asset that can be carried forward to such a Tax period or portion thereof, Buyer shall promptly pay or cause to be paid to Sellers the amount of such reduction in Tax liability or the amount of any benefit resulting from such increase in Tax Asset, as the case may be.

  • Tax Refunds Any refund or credit of Taxes (including as a result of any overpayment of Taxes in prior periods (or portions thereof in the case of a Straddle Period) and including any interest thereon) accruing to Purchaser or any of its Affiliates in respect of the Transferred Entities or as a result of the ownership of the Transferred Assets or the Business (each, a “Tax Asset”) attributable to a Pre-Closing Tax Period (other than any such refund or credit resulting from the carryback of losses, credits or similar items of a Transferred Entity, as the case may be, attributable to a Post-Closing Tax Period) shall be for the account of Seller, except to the extent such Tax Asset was taken into account in the adjustment described in Section 2.04. Purchaser shall pay and shall cause its Affiliates to pay, to Seller the amount of the Tax Asset, net of any reasonable out-of-pocket expenses incurred in obtaining such Tax Asset, within ten (10) days after such Tax Asset is received or after such Tax Asset is allowed or applied against another Tax liability, as the case may be. Purchaser shall, and shall cause its Affiliates to, execute such documents, file such Tax Returns (including amended Tax Returns), take reasonable additional actions and otherwise reasonably cooperate as may be necessary for Purchaser and its Affiliates to perfect their rights in and obtain all Tax Assets for which Seller is entitled pursuant to this Section 8.05. None of Purchaser or its Affiliates shall surrender forfeit, fail to collect or otherwise minimize or delay any material Tax Asset to which Seller would be entitled pursuant to this Section 8.05. Except as provided in this Section 8.05, Purchaser and the Transferred Entities will be entitled to any refunds (including any interest received thereon) in respect of any federal, state, local or foreign Tax liability of the Transferred Entities or in respect of the Business received following the Closing Date.

If any such obligation (other than one arising with respect to taxes based on or measured by the income or profits of the respective Secured Parties) is imposed upon the Guarantor with respect to any amount payable by it hereunder, the Guarantor will pay to the Agent (for the benefit of the Secured Parties), on the date on which such amount is due and payable hereunder, such additional amount in U.S. dollars as shall be necessary to enable the Agent (on behalf of the Secured Parties) to receive the same net amount which the Agent would have received on such due date had no such obligation been imposed upon the Guarantor. The Guarantor will deliver promptly to the Agent (for the benefit of the Secured Parties) certificates or other valid vouchers for all taxes or other charges deducted from or paid with respect to payments made by the Guarantor hereunder. The obligations of the Guarantor under this paragraph shall survive the payment in full of the Guaranteed Obligations and termination of this Guaranty.

  • After-Tax Basis Indemnification under Section 11.1 and Section 11.2 shall be in an amount necessary to make the Indemnified Party whole after taking into account any tax consequences to the Indemnified Party of the receipt of the indemnity provided hereunder, including the effect of such tax or refund on the amount of tax measured by net income or profits that is or was payable by the Indemnified Party.

  • Amended Tax Returns (a) Subject to Section 4.4 and notwithstanding Section 2.1 and Section 2.2, a Party (or its Subsidiary) that is entitled to file an amended Tax Return for a Pre-Distribution Tax Period or a Straddle Tax Period for members of its Tax Group shall be permitted to prepare and file an amended Tax Return at its own cost and expense; provided, however, that (i) such amended Tax Return shall be prepared in a manner consistent with (and the Parties and their Affiliates shall not take any position inconsistent with) past practices of the Parties and their Affiliates or supported by an unqualified reasoned “should” or “will” opinion of a Qualified Tax Advisor, unless otherwise modified by a Final Determination or required by applicable Law, the IRS Ruling, the Tax Representation Letters, or the Tax Opinions; and (ii) if such amended Tax Return could result in one or more other Parties becoming responsible for a payment of Taxes pursuant to Article III or a payment to a Party pursuant to Article IX, such amended Tax Return shall be permitted only if the consent of such other Parties is obtained. The consent of such other Parties shall not be withheld unreasonably and shall be deemed to be obtained in the event that a Party (or its Subsidiary) is required to file an amended Tax Return as a result of an Audit adjustment that arose in accordance with Article IX.

  • Payment of Other Taxes Without limiting the foregoing, Borrowers shall timely pay to the relevant Governmental Authority in accordance with Applicable Law, or at Agent’s option, timely reimburse Agent for payment of, any Other Taxes.

Neither Acquirer, the Company nor any of their Subsidiaries shall be required to file any Refund Claim Return with any Tax authority unless and until Acquirer determines (in its reasonable discretion) that such Refund Claim Return (i) is more likely than not to succeed and
