Other SEC Filings. Parent shall file with the SEC all annual, quarterly and current reports required to be filed by Parent under the Exchange Act for any and all periods ending prior to the Effective Time, which such annual, quarterly and current reports shall (i) be made on a timely basis pursuant to the requirements applicable to each such type of report and (ii) comply in all material respects with the rules and regulations of the SEC applicable to each such type of report.
Other SEC Filings. Each of the Company and each of its Subsidiaries which files any information with the SEC (each, a “Filing Party”) shall promptly deliver to Hxxxxx: preliminary and substantially final drafts, as soon as the same are prepared, of (i) all reports, notices and proxy and information statements to be sent or made available by such Filing Party to its security holders, (ii) all regular, periodic and other reports (other than those on Form 10-K or Form 10-Q) to be filed or furnished by such Filing Party under Sections 13, 14 and 15 of the Exchange Act, and (iii) all registration statements and prospectuses to be filed by such Filing Party with the SEC or any securities exchange pursuant to the listed company manual (or similar requirements) of such exchange. Thereafter, senior employees of the Company and Hxxxxx with responsibility for preparation and review of SEC filings will actively consult with each other regarding any changes (whether or not substantive) that the Company may consider making to such documents before they are filed with, or furnished to, the SEC.
Other SEC Filings. Within five Business Days after the same are filed, copies of all registration statements and any amendments and exhibits thereto, which the U.S. Parent Borrower may file with the SEC or any successor or analogous Governmental Authority;
Other SEC Filings. The Current Report and the Form D shall have been filed with the SEC as required pursuant to Section 2.3. The final Prospectus included in the Initial Registration Statement shall have been filed with the SEC prior to Commencement in accordance with Section 2.3 and the Registration Rights Agreement. All reports, schedules, registrations, forms, statements, information and other documents required to have been filed by the Company with the SEC pursuant to the reporting requirements of the Exchange Act, including all material required to have been filed pursuant to Section 13(a) or 15(d) of the Exchange Act, prior to Commencement shall have been filed with the SEC.
Other SEC Filings. The final Prospectus included in any post-effective amendment to the Initial Registration Statement, and any Prospectus Supplement thereto, required to be filed by the Company with the SEC pursuant to Section 2.3 and the Registration Rights Agreement after the Commencement Date and prior to the applicable VWAP Purchase Exercise Date (as applicable), shall have been filed with the SEC in accordance with Section 2.3 and the Registration Rights Agreement. The final Prospectus included in any Subsequent Registration Statement and in any post-effective amendment thereto, and any Prospectus Supplement thereto, required to be filed by the Company with the SEC pursuant to Section 2.3 and the Registration Rights Agreement after the Commencement Date and prior to the applicable VWAP Purchase Exercise Date, shall have been filed with the SEC in accordance with Section 2.3 and the Registration Rights Agreement. All reports, schedules, registrations, forms, statements, information and other documents required to have been filed by the Company with the SEC pursuant to the reporting requirements of the Exchange Act, including all material required to have been filed pursuant to Section 13(a) or 15(d) of the Exchange Act, after the Commencement Date and prior to the applicable VWAP Purchase Exercise Date, shall have been filed with the SEC and, if any Registrable Securities are covered by a Registration Statement on Form S-3, such filings shall have been made within the applicable time period prescribed for such filing under the Exchange Act.
Other SEC Filings. Furnish to the Investor promptly following the filing of such documents with the SEC, copies of each proxy statement and Report on Form 8-K filed with the SEC on a non-confidential basis.
Other SEC Filings. Seller shall be responsible for making all filings, if any, required under Sections 13(d), 13(g) and 16 of the Exchange Act. Advisor shall arrange for Seller to receive in a timely manner copies of confirmations or other notices of all sales made pursuant to this Agreement in order to enable Seller to make such filings.
Other SEC Filings. Promptly upon its becoming available, one copy of each financial statement, report, notice or proxy statement sent by Plasti-Line to holders of its Capital Securities and of each regular or periodic report, registration statement or prospectus, if any, filed by Plasti-Line with any securities exchange or the SEC or any successor agency, including without limitations Forms 10-K, 8-K and 10-Q;
Other SEC Filings. The Borrower shall deliver to the Agent and the Banks promptly upon its becoming available, one copy of each financial statement, report, notice or proxy statement sent by the Borrower or any Material Subsidiary to holders of its Capital Securities and of each regular or periodic report, registration statement or prospectus, if any, filed by the Borrower or any Material Subsidiary with any securities exchange or the SEC or any successor agency, including without limitations Forms 10-K, 8-K and 10-Q.
Other SEC Filings. (i) Promptly after the same become publicly available, copies of all periodic and other reports, proxy statements and other materials filed by any Loan Party or any Subsidiary with the SEC, or any Governmental Authority succeeding to any or all of the functions of the SEC, or with any national securities exchange, or distributed by the Borrower to its shareholders generally, as the case may be.
