Other Refunds. If the Escrow Agent has received from the Company a certificate stating that the Offering is being terminated, then the Escrow Agent is authorized and instructed to make the following payments: (i) all principal amounts held by the Escrow Agent in the Escrow together less the expenses incurred by the Escrow Agent for uncollected checks, if any, shall be paid to the subscribers of the Company; (ii) All earnings shall be paid to the Company. All payments to be made by the Escrow Agent to a subscriber, as communicated in writing to the Escrow Agent by the Company, will be mailed by first class mail.
